TEAM CREW AGREEMENT

Parties

Recitals

WHEREAS, Company is engaged in producing and coordinating events, productions, or operations requiring a dedicated crew to perform assigned tasks; and

WHEREAS, Crew Member represents that Crew Member has the experience, skills, equipment (if applicable), and availability to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Crew Member will perform services for Company effective as of Effective Date: .

Scope of Work

Crew Member shall provide the services described below in a professional manner and in accordance with industry standards. Services include, without limitation, the tasks, responsibilities, and deliverables set forth in this section and any attached schedules.

Payment Terms

Company shall pay Crew Member compensation as set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Invoices shall be submitted by Crew Member in writing and paid by Company within days of receipt, unless otherwise stated. Overdue amounts shall accrue interest at the rate of starting the day after the payment due date.

Expense Reimbursement: Expenses reimbursable when pre-approved in writing and supported by receipts. Reimbursable expenses not pre-approved are the responsibility of Crew Member.

Term and Termination

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing the other party with written notice at least days prior to the intended termination date. Either party may terminate for material breach if the breach is not cured within ten (10) days after written notice, or immediately if the breach is not curable.

Upon termination, Company shall pay Crew Member for all services performed through the effective date of termination and for any non-cancellable obligations properly incurred prior to termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether in writing, orally, electronically, or by inspection of tangible items, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Crew Member shall (a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted by this Agreement; (b) use Confidential Information solely for the performance of services under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. The obligations in this section shall not apply to information that is (i) in the public domain through no fault of the receiving party, (ii) rightfully received from a third party without restriction, (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information, or (iv) required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party and cooperates in any lawful effort to limit disclosure.

Confidentiality obligations survive termination of this Agreement for a period of three (3) years, or longer as required with respect to trade secrets under applicable law.

Insurance and Indemnity

Crew Member shall maintain, at Crew Member's expense, appropriate insurance coverage for the performance of services, including commercial general liability and any required workers' compensation coverage. Crew Member shall furnish certificates of insurance upon Company request. Crew Member shall indemnify, defend, and hold harmless Company and its officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of the negligent or willful acts or omissions of Crew Member or its personnel.

Independent Contractor

The parties intend that Crew Member perform services as an independent contractor and not as an employee, agent, partner, or joint venturer of Company. Crew Member shall be solely responsible for payment of all federal, state, and local taxes, and for compliance with applicable employment and labor laws for Crew Member and Crew Member's personnel.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflict of laws principles. The parties agree to attempt to resolve disputes in good faith by negotiation before pursuing litigation. Remedies at law are not exclusive.

Entire Agreement; Amendments

This Agreement, including any exhibits or schedules attached and any written statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign or delegate this Agreement or any rights or obligations hereunder without the prior written consent of the other, except that Company may assign to an affiliate or successor in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
