TEAM LEAD BONUS AGREEMENT

This Team Lead Bonus Agreement (the Agreement) is made effective as of between the following parties.

Taxes and Withholding

All Bonus payments are subject to applicable federal, state and local tax withholding and other payroll deductions as required by law or Employer policy. Employer will withhold all required amounts. Any additional tax liability is the responsibility of the Team Lead.

Forfeiture and Clawback

Team Lead acknowledges that the Bonus is subject to forfeiture if Team Lead is not employed on the Payment Date, is terminated for Cause prior to the Payment Date, or if performance metrics are found to have been materially misstated. Employer reserves the right to recover any paid Bonus (Clawback) in the event of fraud, misconduct, material financial restatement, or breach of this Agreement.

Confidentiality

Team Lead shall maintain in strict confidence the existence, amount and terms of the Bonus and shall not disclose such information except as required by law or with Employer's prior written consent.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and that the person signing below is authorized to bind the respective party. Team Lead represents that no other agreement or policy prohibits acceptance of this Bonus.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles. Any dispute shall be exclusively venued in the courts located in that state unless otherwise agreed in writing.

Amendment; Severability; Entire Agreement

This Agreement may be amended only by a written instrument signed by both parties. If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the Bonus and supersedes any prior understandings or agreements on that subject.

Notices under this Agreement shall be given in writing to the addresses provided above or to such other address as a party may designate in writing. Notice is effective upon receipt.
