TEAM MANAGEMENT FORM

This Team Management Form ("Agreement") is entered into between Client Name: and Team Manager Name: effective as of Effective Date: .

WHEREAS

WHEREAS, the Client engages and retains the Manager to organize, lead, and oversee the operations of the project team identified herein (the "Team") in accordance with the terms and conditions of this Agreement; and

WHEREAS, the Manager accepts such engagement and represents that the Manager possesses the necessary experience, personnel and capacity to perform the services described below in a professional manner and in compliance with applicable law.

WHEREAS, both parties desire to document responsibilities, reporting requirements, compensation and confidentiality obligations governing the Team.

SCOPE OF WORK

The Manager shall provide team management services to achieve the objectives specified by the Client. The Manager's responsibilities include recruiting and assigning personnel, setting priorities, monitoring performance, facilitating communication, and delivering status reports to the Client. Specific tasks, deliverables, and acceptance criteria are described below.

PAYMENT TERMS

Compensation: Client shall pay Manager the Compensation Amount of $ for services performed under this Agreement.

Late Payment: Payments not received within days of the due date shall accrue interest at per month or the maximum rate permitted by applicable law, whichever is lower. Client shall also reimburse Manager for reasonable collection costs and expenses.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least Notice Period: prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Effect of Termination: Upon termination, Manager shall deliver all work product completed through the termination date and shall submit a final invoice for pro rata services performed and reimbursable expenses. Client's obligation to pay for services performed prior to termination shall survive termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical, financial or personnel information disclosed by one party to the other in connection with this Agreement.

Obligation: The receiving party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as required to perform the Scope of Work, and shall use at least the same degree of care as it uses with its own confidential information but no less than reasonable care.

Exceptions: Confidential Information does not include information which is or becomes publicly available through no fault of the receiving party or which is rightfully received from a third party without breach of an obligation of confidentiality.

Duration: The confidentiality obligations set forth in this Agreement shall survive termination or expiration for a period of Confidentiality Period: , except for trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

INDEMNIFICATION & INSURANCE

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses and expenses arising from the indemnifying party's gross negligence or willful misconduct in the performance of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Dispute Resolution: The parties agree to attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be submitted to binding arbitration in the agreed forum unless otherwise required by law.

MISCELLANEOUS

Assignment: Neither party may assign its rights under this Agreement without the prior written consent of the other party, except that Client may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets.

Amendment: This Agreement may be amended only by a written instrument signed by both parties.

Entire Agreement: This Agreement, including any exhibits or attachments specifically incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
