TEAM PLAYER AGREEMENT

This Team Player Agreement ("Agreement") is entered into as of by and between Company Name: and Team Member Name: .

WHEREAS

WHEREAS, Company operates a business that requires cooperative team participation, collaboration, and adherence to specified standards of conduct and performance; and

WHEREAS, Team Member has the experience, skills, and willingness to perform responsibilities as set forth in this Agreement and to adhere to Company policies concerning confidentiality, conduct, and collaboration;

WHEREAS, the parties desire to set forth the terms and conditions under which Team Member will perform and be compensated for the services described herein.

SCOPE OF WORK

Team Member shall perform the services described above in a professional manner consistent with industry standards. Team Member shall comply with reasonable directions, schedules, and policies provided by Company and shall cooperate in good faith with other individuals engaged by Company.

ROLE AND RELATIONSHIP

The selection above determines the parties' intended relationship for purposes of compensation and tax treatment. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship beyond the role selected and applicable law.

PAYMENT TERMS

All payments due to Team Member are contingent upon timely submission of any required invoices and satisfactory performance of duties. Company may withhold payment for disputed amounts until resolution. Payment is due within the timeframe specified in the Payment Schedule.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, expires on .

Either party may terminate this Agreement for convenience upon receipt of the notice period specified above. Company may terminate immediately for material breach, gross misconduct, or violation of company policy. Termination does not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Team Member acknowledges that during the course of performance, Team Member will be exposed to confidential and proprietary information of Company ("Confidential Information"). Team Member agrees to hold all Confidential Information in strict confidence and not to disclose, use, duplicate or exploit such information except as necessary to perform the services under this Agreement. This obligation survives termination for a period of three (3) years or longer where required by law or where such Confidential Information constitutes trade secrets.

Exceptions: Confidential Information does not include information that is (a) publicly known through no wrongful act of Team Member, (b) already known to Team Member prior to disclosure as evidenced by written records, or (c) rightfully received from a third party without breach of an obligation of confidentiality.

INTELLECTUAL PROPERTY

All work product, inventions, designs, code, materials, and deliverables produced by Team Member under this Agreement (collectively, "Work Product") shall be the exclusive property of Company. Team Member hereby assigns to Company all right, title and interest in and to such Work Product and agrees to execute documents reasonably necessary to effectuate such assignment.

INDEMNIFICATION

Team Member shall indemnify and hold harmless Company and its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of Team Member's negligence, willful misconduct, or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment to this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal advice prior to signing.
