WHEREAS

WHEREAS, the Client requires an independent technical assessment of specified systems, applications, and infrastructure to evaluate architecture, security, performance, and compliance; and

WHEREAS, the Consultant represents that it has the technical expertise, personnel, and resources necessary to perform the technical assessment and related advisory services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

The Consultant will perform a technical assessment as described below. The assessment shall include an inventory of systems, architecture review, security evaluation, performance analysis, and prioritized findings with recommended remediation.

The Client shall pay the Consultant the fees and expenses set forth below in consideration for the technical assessment services.

Term and Termination

This Agreement commences on the Effective Date and continues until completion of the scope of work or until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination shall not relieve either party of payment obligations accrued prior to termination.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party any proprietary or confidential information disclosed by the other party in the course of the assessment, except as required by law. Confidential information shall include technical data, trade secrets, business plans, and personal data. The receiving party shall use at least the same degree of care to protect confidential information as it uses to protect its own confidential information, but in no event less than reasonable care.

Deliverables, Reporting, and Acceptance

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

This Agreement, including all attachments and exhibits executed contemporaneously herewith and any incorporated questionnaires, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Representations and Warranties; Liability

Each party represents that it has full power and authority to enter into and perform its obligations under this Agreement. The Consultant warrants that services will be performed in a professional and workmanlike manner. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for indirect, incidental, special, or consequential damages. The Consultant’s aggregate liability for direct damages arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Consultant under this Agreement.
