Either party may terminate this engagement for cause upon written notice to the other party specifying the basis for termination. Termination for convenience by either party requires days' prior written notice. Upon termination, the Client shall pay for all work performed and documented through the effective date of termination.

CONFIDENTIALITY

All non-public documents, data, and information exchanged in connection with this evaluation are confidential. The Evaluator shall use confidential information solely for the purpose of performing the evaluation, shall not disclose such information to third parties except as necessary to perform the services, and shall take reasonable measures to protect confidentiality. This obligation continues for a period of three (3) years following delivery of the final report unless otherwise agreed in writing.

GOVERNING LAW AND ENTIRE AGREEMENT

This Report and Agreement shall be governed by and construed in accordance with the laws of: without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the courts sitting in that jurisdiction for disputes arising from this Agreement.

Entire Agreement: This document, together with any attachments and referenced documents listed herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and agreements, whether written or oral.
