TECHNOLOGY SERVICE PACKAGE

RECITALS

WHEREAS, Client requires technology services, maintenance, support and deliverables as described in this Technology Service Package; and

WHEREAS, Service Provider possesses the specialized skills, personnel and resources necessary to deliver such technology services and agrees to provide the package specified herein under the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Deliverables and acceptance testing procedures shall be set forth in the Scope of Work. Acceptance shall occur when Client provides written confirmation of delivery and conformance to the agreed acceptance criteria, or upon lapse of the agreed testing period if no written rejection is provided.

2. PAYMENT TERMS

Payment is due within days of receipt of invoice unless otherwise agreed in writing. Late payments shall accrue interest at per month (or the maximum allowed by law, if less), and Client shall also be responsible for reasonable collection costs.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party if such breach is not cured within days after written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and accepted prior to termination.

4. CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given its nature. Each party agrees to (i) hold Confidential Information in strict confidence using at least the same degree of care it uses with its own confidential information, (ii) not disclose Confidential Information to third parties except to those employees or contractors who have a strict need to know and who are bound by confidentiality obligations no less protective than those herein, and (iii) use Confidential Information solely to perform its obligations under this Agreement.

Confidential Information shall not include information that: (a) is or becomes public through no breach of this Agreement; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is developed independently by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law or valid order of a court or governmental authority, provided the receiving party promptly notifies the disclosing party to permit a protective order.

5. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider shall retain ownership of its preexisting tools, software, know-how and materials. Client shall receive a non-exclusive, non-transferable license to any deliverable software or documentation delivered under this Agreement to the extent necessary for Client's internal use. Any modifications or custom development paid for by Client shall be owned by Client    Service Provider.

If ownership is assigned to Client, Service Provider hereby assigns all right, title and interest in such custom deliverables upon full payment; provided, however, Service Provider may retain copies for backup and archival purposes and reserves rights to its underlying libraries and tools.

6. WARRANTIES; LIMITATION OF LIABILITY

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Client's sole and exclusive remedies for breach of this warranty shall be re-performance of nonconforming services or, if Service Provider cannot correct the deficiency in a commercially reasonable time, a refund of the fees paid for the nonconforming services. EXCEPT FOR THE FOREGOING, ALL SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THE APPLICABLE STATEMENT OF WORK IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7. INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any third-party claims arising from the indemnifying party's (a) gross negligence or willful misconduct, or (b) material breach of its representations, warranties or obligations hereunder. The indemnified party shall provide prompt written notice of any claim and cooperate reasonably in the defense and settlement thereof.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree that disputes shall be resolved in the state or federal courts located in the county selected by the party initiating the action.

9. ENTIRE AGREEMENT

This Agreement, together with all Statements of Work and exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

10. MISCELLANEOUS

Relationship of Parties: The parties are independent contractors and nothing in this Agreement shall create an employment, agency, partnership or joint venture relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Notices: Notices shall be in writing and sent to the addresses provided by the parties.
