RECITALS

This Telecommunications Phone Porting Agreement (the Agreement) is entered into by the parties identified below as of the Effective Date.

WHEREAS, Requesting Party: is the current account holder or authorized representative seeking to transfer telephone numbers to the Service Provider; and

WHEREAS, Service Provider: is qualified to request and administer porting of telephone numbers and will act in accordance with applicable industry rules and the terms of this Agreement.

WHEREAS, the Requesting Party desires to authorize the Service Provider to initiate and complete the porting of certain telephone numbers from the Current Carrier to the Service Provider under the terms set forth below.

SCOPE OF WORK

Service Provider will initiate and pursue number porting on behalf of Requesting Party, including preparing and submitting necessary letters of authorization, liaising with the losing carrier (Current Carrier), coordinating cutover scheduling, and completing post-porting verification.

CONFIDENTIALITY

Each party shall maintain in strict confidence all non-public information disclosed by the other party in connection with this Agreement, including account credentials, routing plans, number inventories, and customer proprietary network information. Confidential information shall not be used except to perform the obligations under this Agreement. This obligation survives termination for a period of three (3) years.

REPRESENTATIONS, INDEMNIFICATION AND LIMITATION OF LIABILITY

Requesting Party represents that it is the authorized account holder or has express authorization from the account holder to request porting. Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its own negligence, willful misconduct, or breach of this Agreement. EXCEPT FOR WILLFUL MISCONDUCT OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, AND AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID UNDER THIS AGREEMENT FOR THE SPECIFIC PORTING EVENT.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or executed exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
