What the Telemarketing Services Agreement Covers

A Telemarketing Services Agreement is a written contract that defines the relationship between a client and a telemarketing provider for outbound or inbound phone-based customer contact. It typically covers the scope of services, compensation, lead sourcing, call scripts, performance metrics, compliance with TCPA and the FTC Telemarketing Sales Rule, data handling, confidentiality, and termination terms. The agreement clarifies responsibilities for caller identification, consent management, recordkeeping, and any state or industry-specific requirements that affect how calls are placed, monitored, and documented.

Why a Clear Agreement Matters

A well-drafted Telemarketing Services Agreement reduces regulatory risk, defines service levels, and protects both parties from disputes over campaign performance, data use, and consumer consent. It creates a documented compliance baseline for TCPA and FTC TSR obligations and sets expectations for privacy, security, and remediation when rules change or complaints arise.

Why a Clear Agreement Matters

Who Typically Prepares or Signs This Agreement

Organizations that rely on phone outreach or outsourced contact centers prepare this agreement to align commercial and regulatory expectations.

  • In-house Marketing Teams and Procurement professionals at companies that contract telemarketing services for sales, lead generation, or customer outreach.
  • Third-Party Call Center Operators and agency owners that provide telemarketing campaigns, compliance controls, and reporting to clients.
  • Legal and Compliance Officers responsible for ensuring TCPA, state consumer protection, and privacy requirements are addressed in contracts.

Parties typically route the draft through legal review, compliance checks, and operational sign-off before execution to reduce post-signature disputes.

Common Signatories and Their Roles

Client Authorized Signatory

A chief contract officer, general counsel, or other person with corporate signing authority signs on behalf of the client and accepts obligations such as payment, campaign approval, and oversight. Confirm corporate resolution or delegation if required by internal policy.

Provider Authorized Officer

An executive or operations leader with the provider's delegated authority signs for service delivery, compliance with scripts, and data handling practices. The signer must be empowered to bind the call center to indemnities and performance commitments.

Essential Information to Include

Party Names: Full legal names
Service Description: Scope and deliverables
Payment Terms: Rates and schedule
Campaign Dates: Start and end dates
Compliance Clauses: TCPA and FTC TSR
Data Handling: PII protection rules

Primary Penalties and Contract Risks

TCPA Liability: Statutory damages per call
FTC TSR Violations: Civil penalties and rescission
State UDAP Claims: Consumer restitution risk
Contract Breach: Termination and damages
Data Breach: Regulatory fines and costs
Reputational Harm: Loss of customers

Common Mistakes to Avoid

  • Relying on vague consent language rather than documenting explicit prior express written consent for autodialed or prerecorded calls.
  • Failing to specify who maintains national and internal do-not-call lists, leading to duplicate or missed suppression updates and increased TCPA exposure.
  • Omitting clear data ownership and retention rules, which creates disputes after campaign termination about lead reuse or regulatory production requests.
  • Not defining acceptable call monitoring and recording practices, which can violate state wiretapping and privacy laws when not disclosed.

Contract Sections to Prioritize

A professional Telemarketing Services Agreement should clearly assign responsibilities, outline compliance tasks, and include measurable performance metrics to reduce ambiguity and legal exposure.

Scope of Work

Define channels, call volumes, campaign types, script control, target lists, and specific deliverables so both parties understand operational limits and expectations.

Compliance and Consent

Specify TCPA consent standards, required disclosures, recordkeeping for consent evidence, and obligations to comply with the FTC Telemarketing Sales Rule and state laws.

Data Security

Detail PII handling, encryption, access controls, breach notification timelines, and whether a Business Associate Agreement is needed for healthcare-related information.

Performance Metrics

Include KPIs, reporting cadence, remedy steps for missed SLAs, audit rights, and acceptance criteria for campaign outputs.

Indemnities and Limits

Allocate responsibility for regulatory fines, consumer claims, and third-party IP issues; include caps and exclusions of liability.

Termination and Transition

State termination rights, notice periods, data return or destruction processes, and post-termination restrictions on lead reuse.

Follow a consistent completion workflow to speed execution and reduce post-signature disputes.
