TELESERVICE CLIENT INFORMATION FORM

Payment Terms

Fees for services will be invoiced and paid in accordance with the following terms. All amounts are stated in local currency unless otherwise agreed in writing.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: unless earlier terminated as provided below.

Either Party may terminate this Agreement for convenience upon providing written notice to the other Party not less than days prior to the intended termination date. Either Party may terminate immediately for material breach that remains uncured for a period of 15 days after receipt of written notice of such breach, or immediately for reasons of client safety or legal requirement.

Confidentiality and Data Handling

Each Party shall maintain in confidence all non-public information disclosed by the other Party in connection with this Agreement and shall not disclose such information to any third party except as reasonably necessary to perform contractual obligations or as required by law. The Parties shall implement reasonable administrative, technical, and physical safeguards to protect personal data and shall comply with applicable privacy laws and regulations governing the protection of client information.

Service Provider will use encrypted communication methods where reasonably available and will notify Client of any unauthorized access to Client data promptly upon discovery. Client consents to the use of third-party communication platforms for the delivery of services provided Service Provider exercises commercially reasonable oversight of such platforms.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The Parties agree that disputes shall be resolved in the state or federal courts located within that state unless otherwise mutually agreed in writing.

Entire Agreement

This Form, the Scope of Work, and any attached schedules or addenda constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification to this Agreement must be made in writing and signed by authorized representatives of both Parties.
