TELEWORK AGREEMENT

This Telework Agreement (the "Agreement") is entered into as of Effective Date: by and between Employer Name: ("Employer") and Employee Name: ("Employee").

RECITALS

WHEREAS, Employer and Employee desire to set forth the terms and conditions under which Employee will perform job duties remotely on a regular or occasional basis; and

WHEREAS, Employee's telework arrangement is intended to facilitate productivity while maintaining compliance with Employer policies, data security requirements, and applicable law; and

WHEREAS, Employer retains the right to modify or terminate telework arrangements as necessary to meet business needs and to ensure workplace safety and compliance.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: "Telework" means performing assigned duties from a location other than Employer's primary place of business; "Equipment" means hardware, software, and related items provided by Employer for Telework; "Business Records" means all documents, files, electronic records, and other materials created, received, or maintained in connection with Employee's employment.

2. TERM

This Agreement commences on the Effective Date above and continues until terminated in accordance with Section 11. Either party may terminate this Agreement at any time with written notice as provided in the Notices section.

3. TELEWORK SCHEDULE

Employee shall telework on the following schedule (select applicable days and specify hours). Telework is subject to change by Employer with reasonable notice where operational needs require onsite presence.

Employee's primary telework location shall be:

5. EQUIPMENT, SUPPORT, AND EXPENSES

Employer may provide Equipment to Employee to facilitate Telework. Employee shall maintain such Equipment in good working order and shall not remove Employer software or data from Equipment except as required for business purposes. Employer provided items will remain Employer property and must be returned upon request or termination.

Unless otherwise agreed in writing, Employer is not responsible for ordinary home utility costs. Reimbursement for pre-approved business expenses shall be governed by Employer's expense reimbursement policy and shall require submission of receipts.

6. DATA SECURITY, CONFIDENTIALITY AND PROPERTY

Employee shall comply with all Employer policies regarding information security, confidentiality, acceptable use, and data protection. Employee shall implement reasonable security measures, including use of Employer-approved antivirus software, secure Wi-Fi connections, and password protection. Employee shall immediately report any suspected data breach, loss, or theft of Equipment or Business Records to Employer.

All Business Records created or stored by Employee in the course of Telework are the sole property of Employer. Employee shall not retain copies of Business Records after termination or upon Employer's request.

7. WORK PERFORMANCE, SUPERVISION, AND AVAILABILITY

Employee shall perform job duties to the same standards as when working onsite and shall remain accessible during scheduled work hours. Employee must attend meetings, trainings, and other events as required by Employer, whether virtual or in-person. Employer retains the right to require Employee to report to the office for meetings or assessments upon reasonable notice.

8. SAFETY AND WORKERS' COMPENSATION

Employee is responsible for maintaining a safe and ergonomically appropriate work environment at the telework location. Employer's workers' compensation policy shall apply to work-related injuries sustained in the telework location while performing assigned duties in compliance with this Agreement; Employee must promptly report any work-related injury.

9. COMPENSATION, BENEFITS AND LEAVE

Employee's compensation, benefits and leave accrual shall remain unchanged by this Agreement unless expressly modified in writing. Time worked in excess of scheduled hours must be pre-authorized by Employee's supervisor. Employee shall comply with Employer's timekeeping and leave reporting requirements.

10. COMPLIANCE WITH LAW AND POLICIES

Employee shall comply with all applicable federal, state, and local laws and Employer policies while teleworking, including but not limited to wage and hour, privacy, and health and safety requirements. Nothing in this Agreement alters Employee's at-will employment status unless a separate, written employment agreement provides otherwise.

11. TERMINATION

Employer may suspend or terminate Employee's telework privileges at any time, with or without cause, by providing written notice. Employee may terminate participation in telework by providing written notice in accordance with the Notices section. Upon termination of telework or employment, Employee shall return all Employer property and shall delete or securely return all Employer data from personal devices.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail, or other method providing proof of delivery.

13. AMENDMENTS, WAIVER, COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to Telework and supersedes all prior understandings. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

16. MISCELLANEOUS PROVISIONS

Employee acknowledges receipt of a copy of this Agreement and agrees to comply with its terms. Employee further certifies that the telework location is suitable for the performance of job duties and that Employee will notify Employer promptly of any change to the telework location.
