TELEWORK AGREEMENT ANNEX

This Telework Agreement Annex (the "Annex") is entered into as an addendum to the existing employment agreement between the parties below and sets forth the terms and conditions under which the Employee will perform work remotely.

WHEREAS, the Employee is employed by the Employer under an existing employment agreement and performs duties that may be conducted, in whole or in part, at a location other than the Employer's primary place of business;

WHEREAS, the parties desire to establish the conditions under which the Employee may telework, including scope of work, equipment and expense responsibilities, compensation adjustments, and security obligations; and

WHEREAS, this Annex supersedes only those aspects of prior agreements that are expressly inconsistent with its terms and is intended to complement the existing employment agreement.

Health, Safety and Insurance

Employee is responsible for maintaining a safe and ergonomically appropriate workspace. Employer is not liable for injuries that arise out of equipment or conditions that are not work-related. Employee shall notify Employer of any work-related injury in accordance with Employer policies.

Governing Law

This Annex shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement and Amendment

This Annex, together with the existing employment agreement and any referenced policies, constitutes the entire agreement between the parties with respect to telework and supersedes all prior agreements and understandings relating to the subject matter herein. Any amendment to this Annex must be made in writing and signed by both parties.
