What the TELO Subscription Agreement Covers

The TELO Subscription Agreement is a legally binding contract that governs access to TELO services on a subscription basis. It sets out the parties, subscription tier, permitted uses, payment terms, renewal and termination mechanics, service levels, data handling and confidentiality obligations, intellectual property allocation, and dispute resolution. The agreement also typically includes indemnities, limitation of liability, and governing law provisions. When executed electronically, confirm compliance with the ESIGN Act and the applicable state UETA or ESRA framework to preserve enforceability and evidentiary value.

Why a Clear TELO Subscription Agreement Matters

A well-drafted TELO Subscription Agreement reduces billing disputes, clarifies service expectations, limits liability, and documents rights in intellectual property and data. It protects both subscriber and provider by defining renewal cycles, termination triggers, and remedies for breaches while supporting regulatory compliance for data and privacy obligations.

Why a Clear TELO Subscription Agreement Matters

Who Typically Completes or Signs This Agreement

Business signatories include vendor legal or contracts teams, procurement officers, and authorized customer signatories who manage vendor relationships.

  • Vendor legal and contracts teams who manage subscription terms and risk allocation.
  • Procurement and finance teams responsible for pricing, invoicing, and renewal approval processes.
  • Customer IT, security, and compliance leads who verify data handling and access controls.

Small-business owners, IT procurement, and compliance officers also commonly review the agreement before execution to confirm service scope, SLAs, and data protections.

Key Signatory Roles

Authorized Signer

An officer, procurement manager, or delegated representative with corporate authority signs on behalf of the subscriber; verifying signing authority prevents challenges to enforceability and avoids name-matching discrepancies.

Core Clauses to Include in a Professional TELO Subscription Agreement

A complete agreement balances commercial clarity with legal protections. Include the following clauses to reduce disputes and support operations.

Subscription Scope

Define services, user counts, and permitted uses clearly; avoid ambiguous language that can lead to billing or access disputes, and attach a schedule listing included modules and limits.

Payment and Taxes

State fees, billing frequency, acceptable payment methods, late fees, and tax responsibility; include invoicing procedures and dispute resolution for disputed charges.

Term and Termination

Specify initial term, renewal mechanics, termination for convenience and cause, notice requirements, and any post-termination transition assistance or data return obligations.

Data Protection

Address data ownership, processing, security measures, breach notification timelines, and any required addenda for HIPAA or other regulated data.

Warranties and SLA

Limit express warranties, set service level commitments, uptime credits or remedies, and define exclusions for maintenance or force majeure events.

Liability and Indemnity

Cap total liability, carve out gross negligence or willful misconduct, and define indemnity scope for IP claims and third-party losses.

Supporting Elements That Reduce Execution Risk

Add practical schedules and exhibits to keep the main agreement concise while capturing operational detail and execution evidence.

Pricing Schedule

Attach a clear pricing schedule showing unit prices, discounts, billing milestones, and renewal price adjustment methodology to avoid future disputes and support accounting.

Service Level Exhibit

Include response and resolution times, uptime metrics, and credit calculation examples so both parties have aligned expectations and measurable remedies.

Data Processing Addendum

When handling regulated personal data, include a DPA specifying processing purposes, subprocessors, breach procedures, and deletion or return obligations.

Contact and Notice List

Provide operational, billing, and legal contacts with delivery methods for notices; specifying an address and email reduces missed communications.

Practical Tips for Accurate and Efficient Completion

Follow these practices to reduce approval cycles and preserve enforceability while streamlining signings.

Use Consistent Entity Names
Always match the legal entity name to formation documents and tax IDs; inconsistent naming can cause payment delays and tax reporting errors.
Record Version History
Maintain a change log for amended terms and attach executed amendments to the original agreement for a single source of truth.
Set Clear Renewal Notices
Require advance written renewal or cancellation notice periods to avoid unintended auto-renewals and provide time for budget planning and vendor review.
Confirm Signer Authority
Verify corporate signatory authority or attach delegation documentation for signers to reduce the risk of later challenges to the agreement's validity.

Key Processing Milestones from Negotiation to Effective Date

Track milestones from internal approvals through signature and post-execution tasks to maintain compliance and operational readiness.

01

Negotiation Complete

Agreement terms finalized and approved by legal and finance.

02

Signatory Approval

Authorized signers confirmed and signature blocks prepared.

03

Execution

All parties sign and dates are recorded.

04

Onboarding Start

Service provisioning and account setup begin following execution.

Common Timeframes and Notice Requirements

The agreement should state clear deadlines for billing cycles, renewal notices, termination windows, and performance remediation.

Effective Date and Billing:

Effective date governs when billing begins and rights vest.

Renewal Notice Window:

Specify notice period (commonly 30–60 days) before auto-renewal.

Payment Due Date:

State payment terms (e.g., Net 30) and late fee rules.

Breach Cure Period:

Allow a defined cure period (often 10–30 days) for material breaches.

Termination Notice:

Detail the method and timing required for valid termination notices.
