Whereas

WHEREAS, the Client operates temperature-sensitive goods and/or facilities that require continuous monitoring to ensure product integrity and regulatory compliance; and

WHEREAS, the Provider possesses personnel and systems competent to perform routine temperature monitoring, logging, and reporting in accordance with industry standards and the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope, compensation, recordkeeping, and legal terms governing the Provider's monitoring services and the use of the Temperature Log Template attached hereto.

Scope of Work

The Provider shall perform temperature monitoring services as described below. The Provider shall maintain accurate records using the log form contained in this Agreement and shall promptly notify the Client of any excursions or equipment malfunctions.

Payment Terms

Client shall pay Provider compensation for services rendered as set forth below. All fees shall be due in accordance with the schedule agreed below. Late payments shall accrue interest as provided herein and may suspend Provider's obligations until cured.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party not less than Notice Period (days): days prior to the intended termination date. Termination for cause may occur immediately upon material breach if the breaching party fails to cure such breach within thirty (30) days after written notice.

Confidentiality

Each party shall maintain as confidential all non-public information obtained from the other party in connection with this Agreement. Confidential information shall not be disclosed except to employees, contractors, or regulators with a need to know, and only under obligations of confidentiality at least as protective as those contained herein. Confidential information shall be retained for Confidentiality Duration: following termination, after which such information may be disposed of in a manner that prevents unauthorized disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Exclusive jurisdiction and venue for any dispute arising under this Agreement shall lie in the state or federal courts located within that State.

Entire Agreement
