TEMPORARY IMAGE RELEASE FORM

Whereas

WHEREAS, Releasor Name: is the individual whose image, likeness, voice or performance may be recorded or photographed (collectively, the "Images");

WHEREAS, Licensee Name: desires to obtain the right to use the Images for the limited purposes set forth in this Agreement; and

WHEREAS, the parties wish to set forth the temporary, limited grant of rights, payment, confidentiality, termination and other terms governing the permitted use of the Images effective as of Effective Date: .

Scope of Images and Use

Description of Images, Event, Location and Permitted Uses:

Grant: Releasor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use the Images solely for the Permitted Uses described above and only during the Term specified below. The license is limited to the media, territories and duration expressly set forth in this Agreement. Any use beyond the Permitted Uses requires a separate written license.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within Notice Period (days): days after written notice. Termination does not relieve Licensee of obligations to pay amounts accrued prior to termination.

Confidentiality

Except as required for the Permitted Uses, Licensee shall keep the Images and any metadata or production materials confidential and shall not disclose, transfer or otherwise make them available to third parties without Releasor's prior written consent. Confidentiality obligations survive termination for a period of two (2) years.

Representations; Release and Indemnification

Releasor represents and warrants that Releasor has full legal capacity to grant the rights granted herein and that use of the Images as permitted will not violate the rights of any third party. Releasor releases and forever discharges Licensee from any claims, demands or causes of action relating to the use of the Images pursuant to this Agreement. Releasor shall indemnify, defend and hold harmless Licensee from any third-party claims arising out of Releasor's breach of the foregoing representations.

Attribution and Moral Rights

If credit is required by Releasor, the credit line shall read: . Releasor hereby waives any moral rights to attribution beyond the stated credit line for uses permitted herein to the fullest extent permitted by law.

Revocation and Return of Materials

Releasor may revoke the license granted herein only upon material breach by Licensee and after failure to cure as set forth in the Termination section. Upon termination or expiration, Licensee shall cease all future uses of the Images and, upon Releasor's request, return or destroy any original production materials within fifteen (15) days and certify such destruction in writing.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of Governing State: without regard to its conflict of laws principles.

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
