TEMPORARY RENTAL AGREEMENT

RECITALS

WHEREAS, Owner Name: (the "Lessor") is the lawful owner of the real property described below; and

WHEREAS, Renter Name: (the "Lessee") desires to temporarily occupy the Premises for the limited term and purposes set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

DESCRIPTION OF PREMISES

SCOPE OF USE

The Premises shall be used only for the purpose described below and for no other commercial or residential purposes without the Lessor's prior written consent.

TERM

This Agreement commences on Start Date: and terminates on End Date: (the "Term"), unless earlier terminated in accordance with this Agreement.

PAYMENT TERMS

All sums payable by the Lessee under this Agreement are due when specified. Late payments shall accrue the stated late fee and interest to the maximum extent permitted by law. The Lessor may apply the security deposit to unpaid rent, repair of damage beyond normal wear and tear, and other unpaid charges; any remaining deposit shall be returned within a reasonable period after termination, together with an itemized statement of deductions.

USE, CONDITION AND MAINTENANCE

Lessee shall maintain the Premises in a clean and safe condition, shall not commit waste or nuisance, and shall comply with all applicable laws and building rules. Lessee shall promptly notify Lessor of any condition requiring repair. Lessor shall be responsible for major structural repairs, unless damage is caused by Lessee's negligence or willful act, in which case Lessee shall be responsible for repair costs.

Lessee acknowledges receipt of the Premises in its current condition and accepts the same except as otherwise noted in an attached move-in condition report signed by both parties.

INSURANCE AND LIABILITY

Lessee shall obtain and maintain, at Lessee's expense, liability and property insurance covering Lessee's use and occupancy of the Premises and shall provide evidence of such insurance upon request. The Lessor shall not be liable for loss of or damage to Lessee's personal property except to the extent caused by Lessor's gross negligence or willful misconduct.

INDEMNITY

Lessee shall indemnify, defend and hold harmless Lessor, its agents and employees from and against all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or connected with Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

CONFIDENTIALITY

Both parties acknowledge that during the Term they may receive confidential information concerning the other party's business operations or the Premises. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties except as required by law or with the prior written consent of the disclosing party. This obligation survives termination of this Agreement for a period of two (2) years.

DEFAULT AND REMEDIES

If Lessee fails to pay rent or otherwise materially breaches this Agreement, Lessor may pursue all remedies available at law or in equity, including termination of tenancy, recovery of unpaid rent, damages, and costs of recovery. Lessor shall provide written notice of default and, where curable, a reasonable opportunity to cure as required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified for the Premises without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written attachments signed by both parties, constitutes the entire agreement between Lessor and Lessee with respect to the Premises and supersedes all prior negotiations, representations and agreements, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

The parties certify that each has the authority to enter into this Agreement and that the information provided in this Agreement is true and correct. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original.
