Scope of Work

The substitute staff shall perform the duties and responsibilities as set forth below. Any material change to the scope requires prior written consent of the Client.

Either party may terminate this substitution arrangement for convenience upon providing written notice to the other party no fewer than days. Termination for cause may occur immediately upon material breach by the other party, including but not limited to failure to pay amounts when due or material misrepresentation concerning the substitute staff's qualifications.

Confidentiality

The substitute staff and Agency shall maintain in confidence all non-public, proprietary, or confidential information of the Client that is received or accessed in connection with the assignment. Confidential information excludes information that (i) is or becomes generally available to the public other than through breach of this obligation, (ii) was lawfully in the receiving party’s possession prior to disclosure, or (iii) is rightfully received from a third party without restriction. Upon termination of the assignment, the substitute staff and Agency shall promptly return or destroy Client confidential materials and certify in writing compliance upon request.

Liability and Indemnity

Agency shall procure and maintain workers' compensation and any other insurance required by applicable law for the substitute staff. Each party shall indemnify and hold harmless the other party against losses arising from its own negligence, willful misconduct, or breach of this agreement; provided that neither party shall be liable for consequential, special, or punitive damages except in cases of gross negligence or willful misconduct.

Governing Law: This substitution agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules.
