What a Tenant Agency Agreement Is and When It Applies

A Tenant Agency Agreement is a written contract establishing an agency relationship between a prospective or current tenant and a leasing agent, broker, or property manager. It defines the agent's authority to search for, negotiate, or secure rental space on the tenant's behalf, and describes duties such as showing properties, presenting offers, and advising on lease terms. The agreement clarifies whether representation is exclusive, the term of engagement, compensation or commission arrangements, and any limits on the agent’s authority. Electronic execution is generally acceptable under U.S. e-signature laws when the parties meet legal requirements.

Why a Tenant Agency Agreement Helps Reduce Ambiguity

A clear Tenant Agency Agreement sets expectations for responsibilities, compensation, and decision authority, reducing disputes between tenants, agents, and landlords and creating a documented record for future reference.

Why a Tenant Agency Agreement Helps Reduce Ambiguity

Typical Parties Who Draft, Sign, or Rely on This Agreement

Tenant Agency Agreements are used by tenants, commercial or residential brokers, property managers, and corporate real estate teams when formal representation is needed.

  • Corporate tenants and real estate departments seeking site selection and lease negotiation support.
  • Individual renters or investors who want written representation terms and agent accountability.
  • Brokers and property managers documenting commission structure, exclusivity, and scope of services.

Use the agreement to document fiduciary duties, disclosure obligations, and the term of authority so all parties share a single reference for obligations and compensation.

Who Signs and Their Typical Roles

Tenant

An individual or legal entity seeking to lease property; signs to authorize the agent, agree to the agent’s scope of services, and acknowledge any exclusive representation or fee obligations.

Agent / Broker

A licensed real estate professional or property manager who accepts authority to represent the tenant, documents the scope of representation, discloses conflicts, and agrees to comply with licensing and fiduciary obligations.

Core Elements to Include in a Professional Tenant Agency Agreement

A well-drafted agreement balances clear scope, timeframes, fees, disclosures, and termination mechanics to protect both tenant and agent while preserving enforceability.

Scope of Services

Describe specific duties: property search, showings, proposal preparation, lease negotiation, and any administrative tasks the agent will perform for the tenant.

Term and Termination

Specify start and end dates, renewal options, and the process for early termination including notice periods and any post-termination fee obligations.

Compensation

State commission formulas, flat fees, payment timing, who pays the fee, and whether fees survive termination or are contingent on lease execution.

Exclusivity

Clarify whether the tenant grants exclusive representation or limited authority, and define any geographic or property-type restrictions.

Conflicts and Disclosures

Document any dual agency, material relationships, or known conflicts and confirm the agent’s duty of loyalty and disclosure requirements under state law.

Governing Law

Identify the state law that will govern disputes and specify venue for litigation or arbitration to reduce jurisdictional uncertainty.
