TENANT CONSENT AGREEMENT

This Tenant Consent Agreement (the "Agreement") is made and entered into as of the Effective Date set forth below by and between Landlord Name: ("Landlord"), and Tenant Name: ("Tenant").

RECITALS

WHEREAS, Landlord is the owner or manager of the real property and leasehold described as Premises: (the "Premises"); and

WHEREAS, Tenant currently occupies the Premises pursuant to a lease dated (the "Lease"); and

WHEREAS, Landlord has requested that Tenant provide certain consents and acknowledgements in connection with Landlord's intended transaction, transfer or alteration of landlord's rights affecting the Premises; and Tenant is willing to provide limited consent subject to the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. CONSENT

1.1 Consent to Assignment and Attornment. Subject to the terms and conditions of this Agreement, Tenant hereby consents to any assignment or transfer of Landlord's interest in the Premises or the Lease to a successor owner or assignee ("Assignee") provided that: (a) Tenant shall attorn to any Assignee as landlord under the Lease; and (b) such attornment shall be automatic and deemed effective without the need for further documentation upon written notice to Tenant of the Assignee's name and address.

1.2 Scope of Consent. Tenant's consent under Section 1.1 is limited to assignments, transfers, or sales not involving an eviction or termination of Tenant's possession, and does not waive Tenant's rights under the Lease or applicable law, except as expressly set forth in this Agreement.

2. NON-DISTURBANCE

2.1 Non-Disturbance. Landlord represents and covenants that, upon any assignment of Landlord's interest in the Lease to an Assignee as described in Section 1.1, Tenant's right to quiet enjoyment of the Premises under the Lease shall not be disturbed by such Assignee so long as Tenant is not in default under the Lease beyond any applicable notice and cure periods.

3. TENANT REPRESENTATIONS AND WARRANTIES

Tenant hereby represents and warrants to Landlord as of the Effective Date: (a) Tenant has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder; (b) the Lease is in full force and effect and, to Tenant's knowledge, Landlord is not in default thereunder; and (c) as of the Effective Date, Tenant has no existing claims or offsets against Landlord arising under the Lease except as disclosed in writing to Landlord.

4. LIMITED WAIVER AND NO ASSIGNMENT OF TENANT RIGHTS

4.1 Limited Waiver. Tenant's consent under this Agreement is a limited authorization and is not intended to constitute a general waiver of Tenant's rights, defenses, or remedies under the Lease or under law. Tenant does not waive any right to contest the validity of any alleged default by Landlord prior to an assignment.

4.2 Preservation of Tenant Rights. Except as expressly provided herein, nothing in this Agreement shall be construed to modify, amend, or waive any provision of the Lease or to grant any third party rights against Tenant.

5. INDEMNITY

Landlord shall indemnify, defend and hold Tenant harmless from and against any claims, liabilities, damages or losses arising solely from any breach by Landlord of its representations or covenants contained in this Agreement, excluding claims arising from Tenant's own negligence or willful misconduct.

6. DEFAULT

In the event Tenant is in material breach of the Lease or this Agreement, Landlord shall have all remedies available at law or in equity. Nothing contained herein shall limit Tenant's right to cure any alleged default under the Lease in accordance with the Lease terms.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

9. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS

9.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior communications and agreements, whether oral or written, relating to such subject matter.

9.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

9.3 Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by both parties. The waiver of any breach shall not constitute a waiver of any subsequent breach.

10. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be valid and binding for all purposes.
