Tenant agrees that any misrepresentation or omission of material facts in this Estoppel may constitute a breach of the Lease and may subject Tenant to liability for damages and other remedies permitted under the Lease or applicable law.

Tenant further agrees that, upon request, Tenant will execute an estoppel certificate in a form substantially similar to this instrument for delivery to any prospective transferee or mortgagee of the Premises.
