  6. This Estoppel Letter constitutes a material representation and may be relied upon by transferees, mortgagees and prospective purchasers in evaluating and financing the Property.

This Estoppel Letter shall be governed by and construed in accordance with the laws of the state governing the Lease. Tenant acknowledges that this letter constitutes the full and final statement of the matters certified herein and that no prior oral statements or representations modify these certifications unless expressly set forth above in writing.
