WHEREAS, Landlord and Tenant are parties to a lease governing the Property dated (the "Lease");

Neither party shall disclose such confidential terms to third parties except (a) to counsel, accountants, or lenders on a need-to-know basis subject to confidentiality obligations, (b) as required by law or court order, or (c) with the prior written consent of the other party. Disclosure permitted under this section shall be limited to the minimum information necessary.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

MISCELLANEOUS
