RECITALS

WHEREAS, Landlord and Tenant are parties to that certain Lease dated (the Lease) covering the premises described therein; and

WHEREAS, Tenant has delivered to Landlord a proposed set of revisions, edits and annotations (the Tenant Redlines) proposing modifications to certain provisions of the Lease; and

WHEREAS, the parties desire to set forth the process by which Landlord will review and respond to the Tenant Redlines and to memorialize the effect, if any, of Landlord's acceptance of such Redlines.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Lease" means the lease referenced in the recitals, together with any duly executed amendments thereafter. "Tenant Redlines" or "Redlines" means the specific edits, deletions and insertions proposed in the written redline submission described in Section 2 below. Defined terms used in this Agreement shall have the meanings assigned herein.

2. INCORPORATION OF TENANT REDLINES

2.1 Tenant has provided a written statement of the Tenant Redlines. A concise summary of the Tenant Redlines is set forth below; the parties acknowledge that the complete text of each proposed edit shall be maintained with the Lease file and the parties' counsel.

2.2 The Tenant Redlines are incorporated by reference into this Agreement for the limited purpose of describing the proposed changes and establishing the procedures set forth in Section 3. Inclusion of any Redline in this Agreement does not constitute acceptance by Landlord absent the express written acceptance required by Section 4.

3. REVIEW; RESPONSE; COUNTERPROPOSALS

3.1 Landlord shall have a period of business days from receipt of the Tenant Redlines to provide written notice of acceptance, rejection, partial acceptance, or a counterproposal. Landlord's failure to respond within such period shall not be deemed acceptance of any Redline, but the parties may agree in writing to extend such period.

3.2 Any counterproposal by Landlord shall be in writing and shall identify the specific Lease provisions affected. If the parties agree in writing to adopt any of the Tenant Redlines or to accept a Landlord counterproposal, the parties shall execute an amendment to the Lease memorializing such agreement in a form acceptable to Landlord and Tenant.

4. EFFECT OF ACCEPTANCE; CONDITION PRECEDENT

4.1 Acceptance by Landlord of any Tenant Redline shall only be effective upon execution by both parties of a written amendment to the Lease expressly identifying the accepted Redline and stating the effective date thereof. Acceptance by signature on such amendment shall be a condition precedent to the incorporation of the Redline into the Lease.

4.2 Except as expressly set forth in a fully executed amendment, no Redline shall be deemed to modify or waive any provision of the Lease, and no party shall be bound by an oral or informal acknowledgment of acceptance.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full corporate or legal power and authority to enter into this Agreement; (b) the person executing this Agreement on its behalf is duly authorized to do so; and (c) this Agreement constitutes a valid and binding obligation enforceable against such party in accordance with its terms.

6. CONFIDENTIALITY OF NEGOTIATIONS

The parties agree that negotiation of the Tenant Redlines shall be conducted confidentially. Neither party shall disclose the substance of the Redlines or any draft amendment to any third party except as required by law, to their legal or financial advisors, or as reasonably necessary to effectuate the Lease, provided that such recipients are bound to maintain confidentiality.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses for each party set forth below or to such other address as either party may designate in writing.

8. AMENDMENTS; WAIVER; COUNTERPARTS

8.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including facsimile or email in portable document format) shall be effective as originals.

9. GOVERNING LAW; ATTORNEYS' FEES

9.1 This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its principles of conflicts of law.

10. ENTIRE AGREEMENT; SEVERABILITY

10.1 This Agreement contains the entire agreement of the parties with respect to its subject matter and supersedes all prior negotiations, proposals, representations, and agreements, whether written or oral, relating thereto.

10.2 If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

What a Tenant Redline Agreement Is and When it Applies

A Tenant Redline Agreement is a marked-up lease or amendment showing tenant-proposed changes, deletions, or clarifications to a landlord's draft. It pairs the original lease text with tracked edits, commentary, and alternative clause language so parties can negotiate terms efficiently. Commonly used during lease negotiation, redlines record versions, highlight unresolved items, and make it easier for counsel or property managers to compare positions. The document is not the final lease until both parties accept and sign an executed version reflecting agreed changes.

Why a Redline Agreement Matters for Lease Negotiations

A Tenant Redline Agreement clarifies proposed contract changes, reduces ambiguity during negotiation, and creates a visible audit trail of disputed terms and concessions.

Why a Redline Agreement Matters for Lease Negotiations

Who Typically Prepares or Reviews Tenant Redlines

Several parties commonly create, review, or act on redlines during a lease negotiation.

  • Commercial tenants and their attorneys — review clauses for rent, TI allowances, CAM charges, and assignment/sublease rights.
  • Landlords and leasing counsel — evaluate risk, propose counterlanguage, and preserve lease form consistency across portfolio.
  • Property managers and brokers — track version history, summarize open issues, and coordinate counteroffers.

Core Elements of a Professional Tenant Redline Agreement

A well-formed redline includes the original clause, proposed tenant edits, rationale or comment bubbles, versioning metadata, a summary of open items, and a clear next-step or acceptance block for signatures.

Original Text

Include the landlord's base language to ensure edits are precisely contextualized and trackable across versions.

Tenant Edits

Show insertions, deletions, and replacement language with clear notation (e.g., tracked changes, color coding) for rapid comparison.

Comments

Attach brief reasoning or commercial context to each change so counterparties understand the tenant's objective.

Version Control

Record author, date, and version number on each redline to prevent accidental reversion or parallel editing conflicts.

Open Issues Log

Summarize unresolved points, responsible party, and desired resolution timeline to keep negotiations focused.

Acceptance Block

Reserve a final section where the agreed text is consolidated and signed to create the binding amendment or final lease.

Step-by-Step: Preparing and Sending a Tenant Redline

Follow these sequential steps to draft, circulate, negotiate, and finalize a tenant redline efficiently and with a clear record of changes.

  • 01
Draft Edits: Mark insertions and deletions using tracked changes or a redline tool.
  • 02
Add Rationale: Attach concise comments explaining why the change is requested.
  • 03
Circulate to Counterparty: Send the redline to landlord counsel or broker with version note.
  • 04
Consolidate Agreement: Once accepted, create a clean executed amendment or final lease for signature.

Where to Send or File a Completed Redline Agreement

A redline typically moves between tenant counsel, landlord counsel, brokers, and property management; final executed versions may require additional filing or attachment.

  • Tenant Counsel: Receives drafts and coordinates tenant-side approval and signatures.
  • Landlord Counsel: Reviews edits, negotiates counterlanguage, and issues consolidated versions.
  • Broker / Manager: Tracks status, collects signatures, and updates leasing records.
  • Lease Archive: Store the final executed lease and redline versions in tenant and landlord records for audit.

How to Configure an Online Redline Workflow

Set up a consistent online workflow so redlines circulate securely, preserve history, and capture approvals without version confusion.

Field Configuration
Versioning Enable automatic version numbers and timestamps
Commenting Allow threaded comments linked to clauses
Access Control Restrict edit vs. view rights by role
Audit Trail Turn on IP/timestamp logging for all actions

Digital Signing and eSubmission: Technical Considerations

Choose tools and settings that preserve redline history, support legal e-signatures, and secure PII during transit and storage.

  • File Formats: Use PDF or DOCX to preserve tracked changes and comments
  • Authentication: Use email+SMS or stronger methods for signer verification
  • Retention: Export final signed PDF with embedded audit trail

Common Timelines and Deadlines in Lease Redlining

Negotiation and acceptance often follow predictable timing; record-specific deadlines help avoid unintended holdovers or notice lapses.

Counteroffer Response:

Respond within 3–7 business days to keep negotiations moving.

Final Acceptance:

Aim to consolidate and sign within 10–14 business days for standard commercial leases.

Lease Effective Date:

Set clearly in MM/DD/YYYY to trigger obligations and rent commencement.

POSSESSION Date:

Specify physical possession date separate from effective date if applicable.

Record Retention Start:

Start retention clock at execution date for archival requirements.

Common Mistakes That Slow or Invalidate Redlines

  • Altering clause numbering without reconciling cross-references, which creates ambiguity.
  • Leaving comment-only edits without proposed replacement text, causing interpretation disputes.
  • Failing to consolidate accepted edits into a clean executed amendment, leaving conflicting drafts.
  • Using inconsistent party names or abbreviations that complicate signature validation and recordkeeping.

Risks When Redlines Are Incomplete or Incorrect

Ambiguity: May lead to disputes over tenant obligations or rent; litigation risk increases.
Delayed Possession: Unresolved points can postpone move-in and increase holding costs.
Enforceability: Improperly signed amendments may be unenforceable under ESIGN or state law.
Tax Impact: Incorrect lease terms can affect tax treatment or reporting.
Compliance: Missing disclosures or consumer notices may violate state statutes.
Recording Errors: Incorrect legal descriptions may prevent proper lease recording where required.

Supporting Documents to Attach with a Redline

Attach documents that clarify proposed changes and support negotiation positions to reduce follow-up requests and misinterpretation.

Site Plan

Include floor plans and square footage exhibits so parties agree on premises boundaries and measurements.

Existing Lease

Attach prior lease or amendment text where the redline amends an existing agreement to show context.

Work Letter

Detail tenant improvement scope, schedule, and payment terms to avoid conflicts with lease build-out clauses.

Insurance Certificates

Provide current insurance evidence to demonstrate compliance with landlord-required coverage levels.

Practical Tips for Efficient and Accurate Redline Work

Apply consistent formatting, maintain a single source of truth, and keep negotiation focused by summarizing open items.

Use a Single Master File
Maintain one authoritative document with version numbers to prevent parallel editing and lost changes.
Summarize Changes
Provide a short summary of material changes for quick review by decision-makers who may not read line-by-line.
Limit Scope per Round
Batch related edits into focused rounds to reduce churn and allow targeted counteroffers.
Confirm Final Text
After agreement, produce a clean executed document and attach the redline history for audit purposes.

Example Tenant Redline Scenarios

These concise examples show how redlines resolve common commercial lease issues and document outcomes.

Case Study 1

A tenant seeks extended TI allowances and requests an extra 30 days for buildout

  • Landlord proposes 15 days shorter timeline
  • Parties agree to a phased possession schedule and a rent abatement during construction, documented in the executed amendment to avoid future disputes.

Case Study 2

A tenant requests clearer CAM reconciliation and capped CAM increases

  • Landlord counters with a narrower cap tied to CPI
  • Final lease adds a defined formula for CAM increases and quarterly reconciliation deadlines to provide financial predictability.
