CONFIDENTIALITY

Subtenant and Tenant shall keep confidential all non-public information regarding the Premises and the other party's personal information. This obligation survives the termination of this Agreement for a period of two (2) years.

REPRESENTATIONS, WARRANTIES, AND OBLIGATIONS

DEFAULT AND REMEDIES

In the event of Subtenant's default, Tenant may exercise all rights and remedies available under the Lease and at law, including termination of this Agreement and recovery of damages, costs, and reasonable attorneys' fees. Termination or eviction shall not relieve Subtenant of obligations to pay rent or to reimburse damages incurred prior to vacating the Premises.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with the Lease (to the extent applicable) and any written consents or amendments executed by the parties, constitutes the entire agreement between Tenant and Subtenant with respect to the subject matter hereof and supersedes all prior negotiations and understandings.
