TENANT SUPPORT SERVICES AGREEMENT

WHEREAS

WHEREAS, the Client operates or manages residential rental properties and requires services to provide tenant intake, case management, referrals, and move-in/move-out coordination; and

WHEREAS, the Service Provider represents that it is qualified and experienced to provide tenant support services, including but not limited to tenant outreach, documentation assistance, and coordination with social services; and

WHEREAS, the parties desire to set forth the terms under which the Service Provider will perform the services for the Client.

SCOPE OF WORK

The Service Provider shall perform tenant support services as described below and in any mutually executed task orders or addenda. The services shall include, at a minimum, the following core activities:

Specific service deliverables, performance metrics, and reporting requirements may be detailed in task orders attached to this Agreement and signed by both parties. The Service Provider agrees to perform services in a professional manner consistent with industry standards.

PAYMENT TERMS

Unless otherwise agreed in writing, the Client shall pay undisputed invoices within days of receipt. Invoices shall itemize services rendered, dates of service, and any approved expenses.

Late payments shall incur interest at the rate specified above, calculated monthly on the unpaid balance, and the Client shall reimburse the Service Provider for reasonable collection costs and attorneys' fees incurred in enforcing payment.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for 15 days after receipt of written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means non-public business, financial, tenant or operational information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given its nature. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided the receiving party gives prompt notice and cooperates to seek protective measures.

The receiving party shall hold Confidential Information in strict confidence, use it only for performance under this Agreement, and limit disclosure to employees or contractors with a need-to-know who are bound by confidentiality obligations no less protective than those herein. The obligations of confidentiality shall survive termination of this Agreement for years, except for trade secrets which shall be protected for as long as they remain trade secrets.

INSURANCE; INDEMNIFICATION

The Service Provider shall maintain general liability and professional liability insurance in commercially reasonable amounts and provide proof upon request. The Service Provider shall indemnify, defend, and hold harmless the Client from and against claims arising from the Service Provider's gross negligence or willful misconduct in performance of services. Liability of either party shall be limited to direct damages and shall not include consequential, punitive, or special damages except in cases of fraud or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Venue for disputes shall be the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any task orders and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as a party designates in writing. Notices shall be deemed given upon personal delivery, three days after deposit with the postal service, or one day after dispatch by an overnight courier.
