Procedures for Tendering

Tendering procedure shall be conducted in accordance with the following: a Holder wishing to accept this Offer shall tender certificates (or deliver book-entry instructions) and a duly completed letter of transmittal in the form prescribed by Offeror. Holders must deliver all documents required by Offeror and the depositary prior to the Expiration Time in order to be deemed validly tendered. Delivery of tender shall be to the Office of the Depositary at the address set forth below.

Conditions to the Offer

The obligation of Offeror to consummate the purchase of tendered shares is subject to: (a) receipt of tendered shares in accordance with the terms of this Agreement; (b) absence of any statute, rule, injunction or order restraining the consummation of the Offer; (c) receipt of all regulatory approvals required by applicable law; and (d) no Material Adverse Change having occurred with respect to Target Company prior to the Expiration Time.

Representations and Warranties

Offeror hereby represents and warrants to Target Company that: Offeror has the corporate power and authority to enter into this Agreement and to consummate the transactions contemplated hereby; the execution and delivery of this Agreement and the consummation of the transactions will not violate Offeror's organizational documents or any material agreement or law applicable to Offeror.

Target Company hereby represents and warrants to Offeror that, as of the date hereof, Target Company has disclosed to Offeror all material information reasonably necessary for Offeror to evaluate the business, operations and financial condition of Target Company, except as permitted pursuant to agreed confidentiality arrangements.

Purchase, Payment and Settlement

Payment for validly tendered and accepted shares shall be made promptly following the Expiration Time and subject to any proration provisions, by delivery of immediately available funds to the Holder or its agent. Payment method (select applicable):

Proration; Withdrawals

If the number of shares validly tendered and not withdrawn exceeds the number of shares sought by Offeror, the shares will be accepted on a pro rata basis or as otherwise determined in Offeror's good faith discretion, subject to any minimum lot provisions set forth in the letter of transmittal. Holders have the right to withdraw tenders prior to the Expiration Time by delivering written notice to the Depositary.

Withholding and Taxes

Offeror may withhold from any payment such amounts as required by applicable law. Each Holder shall be responsible for all taxes (other than taxes imposed on Offeror) arising as a result of the sale, transfer or payment for such Holder's tendered securities.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party and its affiliates and their respective officers, directors, employees and agents from and against any and all losses, claims, damages or liabilities, as incurred, arising out of or resulting from any breach of such party's representations, warranties, covenants or agreements set forth in this Agreement, except to the extent caused by the gross negligence or willful misconduct of the indemnified party.
