TERMINATION AGREEMENT

This Termination Agreement (the "Agreement") is entered into as of (the "Effective Date") by and between:

RECITALS

WHEREAS, Party A and Party B entered into an agreement entitled dated (the "Original Agreement"); and

WHEREAS, the parties desire to terminate the Original Agreement effective as of the Effective Date and to set forth the terms on which the Original Agreement shall be terminated and certain post-termination obligations shall be performed.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF TERMINATION

The parties agree that the Original Agreement is hereby terminated in its entirety effective as of the Effective Date. Except as expressly provided in this Agreement, neither party shall have any further obligations under the Original Agreement.

2. PAYMENT TERMS

As consideration for the termination and any transition services, Party shall pay to Party the sum of $ in accordance with the schedule below.

Late payments shall incur interest at the lesser of (i) the maximum rate permitted by applicable law or (ii) from the applicable due date until paid in full.

3. TERM AND TERMINATION

This Agreement shall be effective as of the Effective Date and shall continue until all obligations set forth herein have been satisfied, but in no event later than unless earlier terminated by mutual written consent. Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice.

4. CONFIDENTIALITY

Each party shall continue to hold in confidence all Confidential Information (as defined in the Original Agreement or, if not defined there, information reasonably understood to be confidential) received from the other party, and shall not use or disclose such Confidential Information except as required by law or as necessary to enforce rights under this Agreement. This confidentiality obligation shall survive termination of this Agreement for a period of years.

5. RELEASE AND MUTUAL WAIVER

Subject to receipt of any amounts expressly set forth in Section 2, each party hereby releases and forever discharges the other party, and its affiliates, officers, employees and agents, from any and all claims, demands, causes of action, liabilities and obligations arising out of or relating to the Original Agreement through the Effective Date, except for claims arising from fraud, willful misconduct, or breach of this Agreement.

6. RETURN OF PROPERTY; DATA

Within days after the Effective Date, each party shall return or securely destroy all tangible property and copies of Confidential Information of the other party, unless otherwise agreed in writing. Where applicable, electronic data shall be returned in a mutually agreed format.

7. SURVIVAL

The provisions that by their nature are intended to survive termination, including but not limited to Sections 2 (Payment Terms), 4 (Confidentiality), 5 (Release and Mutual Waiver), 6 (Return of Property; Data), 9 (Governing Law), and 10 (Entire Agreement), shall survive termination or expiration of this Agreement.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the person executing this Agreement on behalf of such party has been duly authorized, and that this Agreement constitutes a valid and binding obligation of such party enforceable in accordance with its terms.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree that exclusive jurisdiction for any dispute arising out of this Agreement shall lie with the courts of that state.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section. Notices shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by overnight courier.

12. MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation.

The parties acknowledge that they have read and understand this Agreement and agree to be bound by its terms. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic transmission shall be binding.
