TERMINATION LEASE AGREEMENT

This Termination Lease Agreement (the "Agreement") is entered into between Landlord: whose address for notices is and Tenant: whose address for notices is (collectively, the "Parties").

Mutual Release and Reservation of Claims

Upon performance by the Parties of their obligations under this Agreement, each Party releases and forever discharges the other Party, and their respective agents, employees and assigns, from all claims, causes of action, liabilities, rents, demands and obligations under the Original Lease arising prior to the Termination Date, except for obligations expressly reserved in this Agreement.

Default, Remedies and Fees

A Party that breaches this Agreement shall be liable for direct damages resulting from the breach. The prevailing Party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs, to the extent permitted by applicable law.

Each Party represents and warrants that it has the full power and authority to enter into this Agreement, that the execution and delivery of this Agreement has been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

All notices required or permitted under this Agreement shall be in writing and sent to the notice addresses below by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.
