TERMINATION LETTER

This Termination Letter (the "Letter") is entered into as of by and between Employer Name: (the "Employer") and Employee/Contractor Name: (the "Employee").

The Employee shall certify in writing that all such property has been returned.

3.2 Confidential Information. The Employee acknowledges ongoing obligations, if any, under existing confidentiality, non-disclosure, or proprietary information agreements and agrees to continue to comply with those obligations.

4. RELEASES AND LIABILITY

4.1 Release by Employee. If severance or other consideration is provided in exchange for a release, the Employee shall execute a written release containing customary waivers of claims against the Employer and its affiliates, subject to applicable law and excluding any claims that cannot be waived by law.

4.2 No Admission. The parties agree that this Letter is not an admission of liability or wrongdoing by either party, and is entered into solely to define the terms of separation.

5. TRANSITION AND COOPERATION

5.1 Transition Assistance. The Employee agrees to reasonably assist with the orderly transition of duties for a period of days following the Termination Date, if requested by the Employer.

6.1 Method. All notices required or permitted under this Letter shall be in writing and delivered personally, by certified mail, or by nationally recognized overnight courier to the addresses set forth above (or to such other address as a party may designate by written notice in accordance with this section). Notices shall be effective upon personal delivery or upon receipt as evidenced by a delivery receipt.

7. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in:
