TERMITE CONTROL AGREEMENT

This Termite Control Agreement ("Agreement") is entered into as of by and between Service Provider Name: and Client Name: .

RECITALS

WHEREAS, Client is the owner or lawful occupant of the real property described as: (the "Property"); and

WHEREAS, Service Provider is duly qualified and equipped to provide inspection, treatment and ongoing preventive services for subterranean termites and related wood-destroying organisms; and

WHEREAS, Client desires to retain Service Provider and Service Provider agrees to provide such services pursuant to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Service Provider shall perform inspections, initial treatment (if elected), and ongoing preventive treatments for subterranean termite activity at the Property. The initial treatment, if required, shall include trenching and application of termiticide to foundations and other treatment measures as described in the written treatment plan attached as Appendix A to this Agreement.

1.2 The specific services to be provided under this Agreement include: inspection of accessible crawl spaces and foundation exteriors; application of liquid soil termiticide and/or baits as chosen by Service Provider; monitoring and corrective re-treatments where live termite activity is discovered; and issuance of any written report requested by Client.

2. TERM; RENEWAL

2.1 This Agreement commences on the Start Date: and shall continue for a period of months unless earlier terminated in accordance with this Agreement.

2.2 Upon expiration, this Agreement shall automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least days prior to the then-current expiration date.

3. SCHEDULE OF SERVICES

3.1 Service Provider will provide services at the following frequency (check all applicable):

3.2 If live termite activity is discovered between scheduled services, Service Provider shall respond within business days to perform corrective treatment at no additional charge, provided Client has maintained payment and complied with access and maintenance obligations.

4. FEES AND PAYMENT

4.1 Fees are due within days of invoice. Overdue amounts shall bear interest at per month or the maximum permitted by law, whichever is less.

5. CLIENT OBLIGATIONS

5.1 Client shall provide reasonable access to the Property, including keys or entry as necessary, and shall remove stored items or obstructions that prevent effective inspection or treatment. If access is denied, Service Provider may suspend service and will not be liable for failures attributable to lack of access.

6. LIMITED WARRANTY AND EXCLUSIONS

6.1 If Client pays for and Service Provider issues a warranty, such warranty shall be limited to re-treatment for subterranean termite activity at the Property for a period of months from the date of initial treatment, subject to the conditions and exclusions set forth herein.

6.2 The warranty does not cover: termite damage to structures after discovery of active infestation prior to initial treatment; damage due to carpenter ants, powderpost beetles, fungal decay, construction defects, storm damage, or soil conditions; nor damage resulting from Client failure to maintain a barrier or otherwise comply with the Agreement.

7. TERMINATION

7.1 Either party may terminate this Agreement for material breach by providing written notice and a period of days to cure the breach. If the breach is not cured within the cure period, the non-breaching party may terminate the Agreement.

7.2 Upon termination, Client remains responsible for payment of all services performed and materials supplied prior to the effective date of termination.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Client shall indemnify, defend and hold harmless Service Provider and its officers, employees and agents from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Client's negligence, breach of this Agreement, or willful misconduct.

8.2 EXCEPT FOR LIABILITY ARISING FROM SERVICE PROVIDER'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, SERVICE PROVIDER'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SERVICE PROVIDER BE LIABLE FOR CONSEQUENTIAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES.

9. INSURANCE AND LICENSES

9.1 Service Provider represents that it maintains insurance customary for the industry and shall maintain any licenses required by applicable law to perform the services. Service Provider shall provide proof of insurance or license upon reasonable request.

10. NOTICES

10.1 All notices required or permitted under this Agreement shall be in writing and delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth below or to such other address as a party may designate by written notice.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

11.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

12.2 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

12.3 If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

13. MISCELLANEOUS

13.1 Independent Contractor. Service Provider is an independent contractor and shall be solely responsible for its employees, agents, and subcontractors.

13.2 Assignment. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliated entity or in connection with a sale of substantially all of its assets.
