Termite Repair Agreement

This Termite Repair Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: , whose address is (hereinafter "Client"), and Contractor Name: , whose address is (hereinafter "Contractor").

WHEREAS

WHEREAS, the Client requires repair of structures and materials damaged or made unsafe by termite infestation at the property described above (the "Property"); and

WHEREAS, the Contractor represents that it has the experience, personnel, equipment and licenses necessary to perform termite repair work and any incidental structural repairs required to return affected areas to a safe and serviceable condition; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Contractor will perform the repair work and be compensated therefor.

Scope of Work

Contractor shall perform the repair services described below in a workmanlike manner and in accordance with industry standards. The Scope of Work, including materials, specific repairs, and exclusions, is set forth below and in any attached change orders.

Payment Terms

The Client agrees to pay Contractor the total contract price and related costs as set forth below. All payments shall be made in U.S. dollars in accordance with the schedule agreed by the parties.

Late payments shall bear interest at the lesser of the statutory maximum or the rate of % per month, calculated from the date payment was due until paid in full. Contractor may suspend work for failure to pay in accordance with this Agreement after providing notice as set forth below.

Change Orders: Any change in the Scope of Work that affects price or schedule must be authorized in writing by both parties in a change order signed by Client and Contractor. Change orders shall set forth additional compensation or credits and revised schedule.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for work performed and materials furnished prior to termination, including reasonable demobilization costs.

Upon termination, Contractor shall promptly deliver to Client all materials and work product completed to date and shall invoice Client for amounts due. Client shall pay Contractor within the time provided in the Payment Terms for services rendered to termination date.

Confidentiality

Each party shall maintain in confidence non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Confidential Information shall not include information that is publicly available through no breach of this Agreement or independently developed by the receiving party without use of the disclosing party's Confidential Information. The receiving party shall use Confidential Information solely to perform its obligations under this Agreement.

Insurance, Indemnity and Risk Allocation

Contractor represents that it maintains commercial general liability insurance and workers' compensation insurance as required by law. Contractor shall indemnify, defend and hold harmless the Client from and against liabilities, losses, damages and expenses arising out of Contractor's negligent performance or willful misconduct, except to the extent caused by Client's negligence.

Client shall maintain property insurance covering the Property and any materials installed until final payment is made, unless otherwise agreed in writing.

Warranty

Contractor warrants that labor and materials furnished under this Agreement shall be free from defects for a period of months from completion. This warranty is limited to repair or replacement of defective work and does not cover damage caused by subsequent infestation, negligence, alteration, or damage from causes beyond Contractor's control.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Exclusive venue for any action arising under this Agreement shall be in the state or federal courts located in that state.

Entire Agreement; Miscellaneous

This Agreement, including any attachments and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
