Terms of Service Extension Agreement

This Terms of Service Extension Agreement ("Agreement") is entered into as of by and between Client Name: ("Client") and Service Provider Name: ("Provider").

RECITALS

WHEREAS, the parties executed a Terms of Service Agreement dated (the "Original Agreement") setting forth the Provider's obligations to perform services for Client; and

WHEREAS, the parties wish to extend the Term and, where applicable, modify certain commercial terms of the Original Agreement solely as set forth in this Agreement; and

WHEREAS, capitalized terms used but not defined in this Agreement have the meanings assigned in the Original Agreement unless otherwise defined herein.

NOW THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. Extension of Term

1.1 Extension. The Term of the Original Agreement is hereby extended to commence on and to expire on (the "Extension Period"), unless earlier terminated in accordance with the Original Agreement or this Agreement.

2. Scope of Extended Services

2.1 Scope. During the Extension Period, Provider shall continue to perform the services described in the Original Agreement and any modifications set forth below.

3. Compensation

3.1 Additional Fee. As consideration for the extended services, Client shall pay Provider an additional aggregate fee of (the "Extension Fee"), subject to the payment schedule in Section 3.2.

4. Representations and Warranties

4.1 Each party represents and warrants that: (a) it has the full power and authority to enter into and perform its obligations under this Agreement; (b) the execution and delivery of this Agreement and the performance of its obligations will not violate any other agreement to which it is a party; and (c) this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

5. Confidentiality

5.1 The parties acknowledge and agree that all Confidential Information disclosed under the Original Agreement shall continue to be governed by the confidentiality obligations set forth in the Original Agreement, which are incorporated herein by reference. The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement.

6. Intellectual Property

6.1 Except as expressly modified herein, ownership, license and assignment of intellectual property rights shall remain governed by the Original Agreement. Any deliverables created during the Extension Period shall be subject to the same ownership and licensing terms as set forth in the Original Agreement.

7. Indemnification; Limitation of Liability

7.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of its breach of this Agreement, willful misconduct, or gross negligence, subject to any limitations in the Original Agreement.

7.2 Limitation of Liability. Except for liability arising from willful misconduct, gross negligence, or a party's indemnification obligations, the parties acknowledge that the limitations of liability set forth in the Original Agreement shall continue to apply during the Extension Period.

8. Termination

8.1 Termination Rights. Either party may terminate this Agreement in accordance with the termination provisions of the Original Agreement. Termination of the Original Agreement shall be deemed termination of this Agreement for all purposes.

9. Notices

9.1 All notices required or permitted under this Agreement shall be in writing and shall be delivered in accordance with the Original Agreement or to the addresses set forth below:

10. Amendments; Waiver; Counterparts

10.1 Amendment. This Agreement may be amended or modified only by a written instrument executed by authorized representatives of both parties.

10.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right. A waiver must be in writing and signed by the waiving party.

10.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic image shall be effective for all purposes.

11. Governing Law; Entire Agreement; Severability

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

11.2 Entire Agreement. This Agreement, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings with respect thereto, whether written or oral.

11.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

12. Miscellaneous

12.1 No Other Modifications. Except as expressly set forth herein, all other terms and conditions of the Original Agreement remain unchanged and in full force and effect.
