TESTING UPGRADE FORM

This Testing Upgrade Form (the Agreement) is entered into as of Effective Date: by and between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client requires an upgrade to its existing testing environment, including but not limited to software updates, test suite enhancements, and migration of test data; and Provider has the expertise and resources to perform the upgrade services described herein.

WHEREAS, the parties desire to set forth the scope, schedule, payment terms, and warranties governing the testing upgrade services to be performed by Provider for Client under the terms of this Agreement.

WHEREAS, the parties agree that the terms and conditions contained in this form will govern the performance, acceptance, and payment for the upgrade work described below.

Either party may terminate this Agreement for convenience upon giving the other party the notice period specified above. Provider may suspend work if Client fails to pay undisputed amounts that are past due beyond the stated grace period. Termination for material breach shall be permitted if the non-breaching party provides written notice and the breaching party fails to cure within thirty (30) days of receipt of such notice.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) use Confidential Information solely for the performance or enforcement of this Agreement; (b) restrict disclosure to employees and contractors with a need to know who are bound by confidentiality obligations no less protective than those set forth herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

Exceptions: Confidential Information shall not include information that (i) is or becomes generally available to the public through no act or omission of the receiving party; (ii) was in the receiving party's lawful possession prior to the disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information. Required disclosures compelled by law shall be permitted only after prompt notice to the disclosing party and a reasonable opportunity to seek protective measures.

WARRANTIES AND LIMITATIONS

Provider warrants that the services will be performed in a professional and workmanlike manner consistent with industry standards. Except for this express warranty, the services are provided "AS IS" and Provider disclaims all other warranties, whether express or implied, including merchantability and fitness for a particular purpose. In no event shall Provider be liable for incidental, consequential, special, or punitive damages arising out of or in connection with the services, whether in contract, tort, or otherwise, except as prohibited by applicable law.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles.

Entire Agreement: This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.
