WHEREAS, the parties desire written verification of the scope, results, and acceptance criteria for the testing performed and to establish payment, confidentiality, and termination terms relating to such testing.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Termination for convenience by either party requires days' prior written notice.

Confidentiality

Each party shall maintain in strict confidence all information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information excludes information that is (a) publicly known without breach of this Agreement; (b) known to the receiving party prior to disclosure as evidenced by written records; or (c) independently developed without use of the disclosing party's Confidential Information. The receiving party shall use Confidential Information only for the purpose of performing obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Representations and Warranties; Liability

Each party represents that it has the full corporate or individual power and authority to enter into this Agreement. Service Provider warrants that testing services will be performed in a professional manner consistent with industry standards. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages. The parties' aggregate liability for breach arising out of this Agreement shall not exceed the total fees paid to Service Provider under this Agreement for the specific testing at issue.

Entire Agreement

This Agreement, including any attachments and written statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

Certifications

The undersigned certify that (a) the information provided in this Testing Verification Form is true and accurate to the best of their knowledge, (b) tests were performed in accordance with the Scope of Work and the results reported reflect the actual observations and measurements, and (c) any deviations from protocol have been recorded and explained in the Observed Results or Corrective Action sections above.
