What the Texas Business Services Agreement Is

A Texas Business Services Agreement is a written contract that defines the scope, deliverables, payment terms, timelines, and legal relationship between a service provider and a business customer operating under Texas law. It typically covers services to be performed, acceptance criteria, fees, invoicing schedules, confidentiality, intellectual property allocation, limits of liability, termination rights, and dispute resolution. While many clauses are standard across U.S. contracts, parties often tailor governing law, tax treatment, insurance requirements, and indemnities to Texas-specific practices and statutory considerations.

Why a Clear Services Agreement Matters

A well-drafted Texas Business Services Agreement reduces ambiguity about performance, protects contractual rights, and sets financial and operational expectations between parties. It provides an enforceable record of obligations and remedies, supports compliance with state and federal rules, and helps avoid disputes that can be costly and time-consuming.
