WHEREAS

WHEREAS, the Event Organizer is engaged in planning and coordinating events and agrees to plan, coordinate and perform the Thanksgiving celebration described in this Agreement; and

WHEREAS, the Host desires to retain the Event Organizer to perform services for the Host's Thanksgiving celebration on the terms and conditions set forth herein; and

WHEREAS, the parties intend to set forth their respective responsibilities, payment terms, confidentiality obligations, and other terms governing the conduct of the celebration and the parties' relationship.

SCOPE OF WORK

The Event Organizer shall provide planning, coordination, and execution services for the Thanksgiving event as described below. Services include but are not limited to venue coordination, catering management, decoration, timeline preparation, vendor supervision, and day-of coordination.

PAYMENT TERMS

Compensation for services under this Agreement shall be as set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Payments not made when due shall accrue interest at the rate set forth above and the Event Organizer may suspend services until delinquent amounts are paid in full. The Host shall be responsible for reasonable collection costs and attorney's fees incurred to collect overdue amounts.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated as provided herein, shall terminate on the End Date.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve the Host of obligation to pay for services performed and non-refundable deposits as specified in the Payment Schedule.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may have access to Confidential Information of the other party. "Confidential Information" means non-public business information, guest lists, pricing, vendor terms, and proprietary plans. The receiving party shall not disclose Confidential Information to any third party and shall use at least the same degree of care to protect Confidential Information as it uses for its own confidential information, but no less than reasonable care.

Confidentiality obligations shall survive termination of this Agreement for a period of two (2) years, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any claims, liabilities, losses, damages or expenses (including reasonable attorney's fees) arising out of the indemnifying party's negligence or willful misconduct in connection with the performance of this Agreement. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Event Organizer's primary place of business is located, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including the Schedules and attachments incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment to this Agreement must be made in writing and signed by authorized representatives of both parties.
