What the Theatre Performance Addendum Is

Theatre Performance Addendum is a short, contract-level attachment that records performance-specific terms added to a primary agreement between a presenter, venue, or producer and an artist or ensemble. Typical items include exact performance dates and times, payment schedule and deposit terms, technical and hospitality riders, insurance and indemnity allocations, cancellation and force majeure rules, and responsibilities for promotion and box office settlements. The addendum clarifies scope and reduces ambiguity for single events, multi-night runs, or touring engagements while preserving the core contract structure.

Why a Performance Addendum Matters

A properly drafted Theatre Performance Addendum narrows obligations tied to a particular engagement, reduces disputes about show logistics, and documents payment and risk allocation specific to the performance.

Why a Performance Addendum Matters

Who Commonly Prepares and Signs This Addendum

Multiple parties use this addendum to capture event-specific terms without redrafting the entire contract.

  • Producers and presenting organizations: finalize dates, deposits, and promotional credits for booked talent.
  • Venues and house managers: confirm load-in, strike times, staffing, and technical support responsibilities.
  • Performers and agents: record set length, payment schedule, rider items, and cancellation protections.

Use the signed addendum together with the main agreement and retain both as the operative contract documents.

Core Components to Include in a Professional Addendum

A concise addendum focuses on items that differ from the base agreement; include clear, measurable terms to avoid interpretive disputes during production and settlement.

Common Errors to Avoid When Preparing the Addendum

  • Leaving dates or times ambiguous, such as 'evening show' without exact call and curtain times, which leads to scheduling conflicts and production delays.
  • Failing to attach or reference the technical rider explicitly so technical needs are not enforceably part of the agreement and cause last‑minute disputes.
  • Using vague payment language like 'payment upon completion' without a defined due date, causing accounting delays and potential collection issues.
  • Omitting insurance language or additional insured requirements, exposing the venue or performer to uncovered liability after an incident.

Potential Consequences of an Incorrect or Missing Addendum

Contract Void: Ambiguity may nullify specific obligations
Withholding Exposure: Incorrect payment terms can trigger withholding errors
Tax Penalties: Late reporting penalties may apply
I-9 Violations: Employment paperwork noncompliance risk
Liability Claims: Uninsured loss allocation can create claims
Settlement Delays: Missing invoices impede final payment

Practical Examples of How Addenda Are Used

These brief examples show typical scenarios where a Theatre Performance Addendum resolves event-specific issues and documents critical terms.

Single-Night Engagement

A touring singer confirms a single performance date and rider

  • deposit equal to 30% required
  • the addendum attaches the rider, sets a final payment deadline seven days before performance, and clarifies promoter marketing obligations.

Multi-Show Run

A local company books a four-night run and defines weekly settlement terms

  • box office splits specified per night
  • the addendum sets nightly guarantees, reconciliation timing, and procedures for cancelling individual nights without voiding the entire run.

Typical Signatories and Their Roles

Producing Manager

A producing manager signs for the presenter or promoter and is responsible for confirming deposits, technical provisions, and promotional credit. They act as the primary operational contact during the engagement and coordinate accounting and production staff.

Lead Performer or Agent

A lead performer or their authorized agent signs on behalf of the artist, accepting the payment terms and rider conditions. This signer ensures contractual commitments align with the artist's schedule and technical needs.

Supporting Documents to Attach or Reference

Attach supporting exhibits that are necessarily part of the addendum to ensure enforceability and avoid later disputes.

Technical Rider

Detailed stage, sound, lighting, and crew requirements included as an exhibit and dated to match the addendum.

Certificate of Insurance

Venue or performer provides COI naming additional insured parties with the limits specified in the addendum.

W-9 or Vendor Info

Performer completes a W-9 or vendor details to enable timely payment and tax reporting.

Proof of Authorization

If signed by agent, attach written authorization or power of attorney for contract signature.
