What a Thermal Services Agreement Covers

A Thermal Services Agreement is a written contract that defines the scope, responsibilities, pricing, timelines, and warranty terms for thermal-related services such as HVAC maintenance, system commissioning, thermal imaging, or energy performance work. The agreement sets deliverables, acceptance criteria, equipment or materials specifications, and payment milestones, and it allocates risk through indemnity and limitation of liability clauses. For projects with multiple trades, the agreement clarifies coordination duties and interfaces. It is used by property owners, facility managers, contractors, and service providers to reduce disputes and document performance expectations.

Why using a formal agreement matters

A clear Thermal Services Agreement reduces disputes, defines measurable deliverables, and protects both parties by documenting obligations, payment terms, and remedies in writing.

Why using a formal agreement matters

Typical parties who prepare or sign this agreement

These agreements are commonly used by owners, facilities teams, contractors, and specialty thermal service providers in both commercial and residential contexts.

  • Real Estate and Property Managers: Use agreements to document routine HVAC and performance obligations for buildings and portfolios; aligns responsibilities across tenants and service contractors.
  • Construction and Mechanical Contractors: Protects scope, schedule, and warranty terms for thermal installations or retrofits performed on behalf of general contractors or owners.
  • Facility and Energy Service Companies: Defines measurement, verification, and payment milestones for energy performance contracts and imaging or monitoring services.

Parties should confirm decision-makers, required permits, and any industry-specific addenda (for example licensing or insurance endorsements) before signing.

Who can sign and their typical roles

Owner / Client

A business owner, facility manager, or property representative who has budget authority or delegated signing power and can bind the organization to contract terms.

Service Provider

An authorized officer or project manager from the contracting company who accepts performance obligations, warranties, and payment schedules on the company’s behalf.

Core sections to include in a professional Thermal Services Agreement

A complete agreement organizes commercial and technical terms so expectations are clear and enforceable across contract duration and closeout.

Scope of Work

Describe services in measurable terms: system types, testing procedures, acceptance criteria, deliverables, and any excluded tasks to avoid ambiguity at performance and payment stages.

Pricing and Payment

Specify firm price or unit rates, payment milestones, invoicing procedures, retention or holdback terms, and consequences of late payment including interest calculation method.

Schedule and Milestones

List start and completion dates, critical milestones, change order process for schedule impact, and coordination responsibilities with other trades or site managers.

Warranties and Remedies

State warranty periods, corrective obligations for defective work, replacement timelines, and how warranty claims are submitted and validated.

Liability and Indemnity

Allocate risk through limits of liability, indemnification for third-party claims, insurance minimums, and procedures for handling loss or damage.

Termination and Dispute Resolution

Include termination rights, notice periods, cure opportunities, and a choice of dispute resolution method such as mediation, arbitration, or court jurisdiction.

Common preparation mistakes to avoid

  • Unclear scope that omits equipment models or performance metrics, which causes disputes about completion and payment.
  • Missing payment milestones or vague invoicing instructions that delay collections and create cashflow issues for contractors.
  • No documented process for change orders, leading to unapproved work and later pricing disagreements.
  • Failure to confirm licensing, permits, or insurance requirements for thermal work in the project jurisdiction.

Step-by-step: completing and executing the agreement

Follow these core steps to prepare, sign, and archive the agreement for immediate enforceability.

  • 01
Prepare Draft: Gather specs, pricing, schedule, and insurance details before drafting.
  • 02
Review Terms: Have legal or project leads review scope, liability, and payment clauses.
  • 03
Obtain Signatures: All authorized parties must sign and date the final agreement.
  • 04
Store Copies: Save executed copies and audit trails in a secure document system.

Typical online signing workflow settings

Configure the digital workflow to mirror your approval chain and preserve a full audit trail for each signer.

Field Configuration
Signing Order Specify sequential or parallel signer order to match approval flow
Authentication Use email plus optional SMS code or KBA for higher assurance
Conditional Fields Show fields only when particular options are selected to reduce signer errors
Attachments Require permits, licenses, or equipment lists to be uploaded before signing

How e-signing and routing typically work

A standard electronic routing sequence reduces friction and captures evidence needed for enforceability.

  • Upload Document: Sender uploads the agreement to the signing platform
  • Place Fields: Add signature, initials, and date fields for each signer
  • Send to Signers: Platform emails signing links or allows guest signing
  • Complete Audit: System records timestamps, IP, and actions for the audit trail

Technical considerations for online completion

Ensure the signing platform supports required authentication, integrations, and export formats for legal and operational needs.

  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • Formats: PDF and DOCX import/export supported
  • Authentication: Email link, SMS code, or advanced methods available

Confirm the platform preserves an immutable audit trail and can export signed documents with embedded metadata for records retention.

Typical contract and project deadlines to document

Specify enforceable dates to avoid disputes over performance windows and payment triggers.

Effective Date:

Date when obligations and warranty periods start

Start of Work:

Contractor mobilization and on-site start date

Milestone Deadlines:

Intermediate completion dates tied to payments

Final Acceptance:

Date for client testing and sign-off

Warranty Period:

Duration for corrective obligations after acceptance
