This Thinning Service Contract (the Contract) is entered into effective as of between the following parties:

WHEREAS, the Client owns or controls the property located at (the Site);

WHEREAS, the Client desires thinning, pruning, and related vegetation management services on the Site to reduce fuel loading, improve forest health, and manage canopy density; and

WHEREAS, the Contractor represents that it is qualified, insured, and experienced to perform thinning services and agrees to perform the work under the terms set forth in this Contract.

Scope of Work

The Contractor shall supply all labor, equipment, materials, supervision, and permits (if required) to perform thinning services described below. Specific tasks, targeted tree species and size classes, retention goals, access points, and disposal methods shall be described in the Scope of Work.

Payment Terms

Contract Price (Total): $. This price is based on the Scope of Work and may be adjusted only by written Change Order signed by both parties.

Balance Payment Schedule:

Late Payment: Unpaid amounts shall accrue interest at (the Late Fee) or the maximum allowed by law, whichever is less. Contractor may suspend work for invoices unpaid after days' written notice to Client.

Either party may terminate this Contract for material breach if the breaching party fails to cure the breach within days after written notice. In the event of termination, Contractor shall be paid for work performed and documented costs incurred through the effective date of termination, including reasonable mobilization and demobilization costs.

Site Conditions, Access and Permits

Client represents that it has authority to allow the Contractor access to the Site. Client shall obtain and pay for any permits or approvals required by public authorities unless the parties expressly allocate such responsibility otherwise in writing. Contractor shall be responsible for obtaining permits required for Contractor's operations only if expressly stated in the Scope of Work.

Waste Disposal and Environmental Compliance

Unless otherwise agreed, Contractor will chip, pile, remove, or broadcast slash as described in the Scope of Work. Contractor will comply with applicable environmental laws and best management practices during operations. Client will notify Contractor of known environmentally sensitive areas on the Site prior to the start of work.

Insurance, Indemnity and Liability

Contractor shall maintain commercial general liability and workers' compensation insurance appropriate for forestry operations. Contractor shall indemnify, defend and hold harmless Client from claims, damages or liabilities arising from Contractor's negligent acts or omissions in connection with performance of the Work, except to the extent caused by Client's negligence or willful misconduct.

Limitation of Liability: Except for willful misconduct or gross negligence, each party's liability to the other shall be limited to direct damages and shall not exceed the total Contract Price.

Change Orders

Any change to the Scope of Work, Contract Price, or schedule must be set forth in a written Change Order signed by an authorized representative of both parties. Contractor shall not be obligated to perform work outside the Scope of Work without a signed Change Order.

Confidentiality

Each party shall hold in confidence and not disclose non-public business or technical information obtained from the other party in connection with this Contract, except as required by law or to perform obligations under this Contract. Confidential information does not include information that is publicly known or rightfully received from a third party without restriction.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the state of . Any dispute arising under this Contract shall be resolved by binding arbitration or in the state or federal courts located in the county where the Site is located, at the election of the non-breaching party.

Representations and Warranties

Each party represents that it has the full power and authority to enter into this Contract and that the execution and performance of this Contract will not violate any other agreement to which it is a party.

Entire Agreement

This Contract, including any signed Change Orders and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.

Notices under this Contract shall be in writing and delivered to the addresses set out above or such other address as a party may designate by written notice. Notice is effective upon personal delivery, confirmed electronic delivery, or three days after deposit in the U.S. mail, postage prepaid.
