Recitals

WHEREAS, Principal desires to authorize a third party to act on Principal's behalf with respect to specified business matters and to permit access to records, communications, and to take specified actions as set forth in this Authorization; and

WHEREAS, Authorized Third Party represents that it has the necessary authority, capacity and qualifications to perform the duties and responsibilities described in this Authorization and agrees to comply with the terms and limitations herein; and

WHEREAS, the parties wish to set forth the scope, duration, compensation, confidentiality, and other material terms governing the grant of authority to the Authorized Third Party.

Principal hereby appoints and authorizes Authorized Third Party to act as Principal's representative to the extent necessary to perform the authorized activities expressly enumerated in this form. This authorization is limited and revocable as set forth in the Term and Termination section below.

Scope of Work

The Authorized Third Party shall perform only the actions expressly authorized above and as further described below. The Authorized Third Party shall act in Principal's best interests, maintain accurate records of all actions taken under this Authorization, and promptly provide originals or copies of such records to Principal upon request.

Payment Terms

If compensation is owed to the Authorized Third Party for services rendered under this Authorization, the parties agree to the following payment terms:

Term and Termination

This Authorization shall be effective as of the Effective Date set forth below and, unless earlier revoked in accordance with this section, shall terminate on the Expiration Date set forth below.

Principal may revoke this Authorization at any time by providing written notice to the Authorized Third Party and to any third party reasonably known to be relying on this Authorization. Revocation will be effective upon receipt except where third parties have acted in good faith prior to receipt.

Confidentiality

The Authorized Third Party shall maintain in strict confidence all non-public information obtained from Principal in connection with this Authorization. The Authorized Third Party shall not disclose such information except (a) as necessary to perform authorized duties, (b) with Principal's prior written consent, or (c) as required by law. Reasonable safeguards shall be implemented to prevent unauthorized disclosure.

Liability and Indemnification

The Authorized Third Party shall be liable for losses resulting from its willful misconduct, gross negligence, or material breach of this Authorization. The Authorized Third Party agrees to indemnify and hold harmless Principal from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from the Authorized Third Party's unauthorized acts or breaches.

Governing Law

This Authorization shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Entire Agreement

This document contains the entire agreement between Principal and Authorized Third Party relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
