TICKET NUMBER LOG

This Ticket Number Log ("Agreement") documents the issuance, recording and control of sequential ticket numbers used by the parties for the purposes set forth below. NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Where logging services or ticket control are provided for a fee, the following payment terms apply unless otherwise agreed in writing.

Payments not received within the agreed period shall accrue late fees as specified above and may be subject to suspension of services until all outstanding amounts are paid.

Term and Termination

This Agreement commences on Start Date and continues until End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement by providing written notice to the other party in accordance with the notice period specified above. Termination does not release either party from obligations accrued prior to termination, including payment and record-keeping obligations.

Confidentiality

Each party shall maintain as confidential all non-public information received from the other party in connection with this Agreement, including but not limited to ticket issuance sequences, personal data of ticket recipients, and internal control procedures. Confidential information shall not be disclosed except to employees, agents or subcontractors with a need to know and who are bound to maintain confidentiality.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with any written attachments and the completed Ticket Number Log, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Amendments and Notices

Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. Notices under this Agreement shall be in writing and delivered to the addresses provided by the parties or to such other address as a party designates by notice to the other party.
