Recitals

WHEREAS, Client requires professional tile installation services for the vestibule located at (the "Project"); and

WHEREAS, Contractor is duly qualified, licensed, and insured to perform tile installation and related work and agrees to perform such work in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope, compensation, schedule, and other terms governing the Project.

Contractor shall maintain commercial general liability and workers' compensation insurance as required by law and maintain evidence of insurance upon request. Client shall obtain any necessary access, permits, or approvals unless otherwise agreed in writing.

Confidentiality

Each party shall keep confidential and not disclose to third parties non-public business information and documents of the other party relating to pricing, technical specifications, proprietary processes, or other information reasonably understood to be confidential, except as required by law or to enforce this Agreement. Confidential information shall not include information that is publicly known through no fault of the recipient or received from a third party without breach of an obligation of confidentiality.

Indemnification and Limitation of Liability

Contractor shall indemnify and hold Client harmless from claims, damages, losses and expenses arising from Contractor's negligence or willful misconduct in performing the Work, except to the extent caused by Client's negligence. Except for indemnification obligations and willful misconduct, neither party shall be liable for consequential, incidental, special, or punitive damages.

Term and Termination

Term: This Agreement commences on the Effective Date: and terminates upon final payment and completion, unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured after days' written notice. Upon termination for cause by Client, Contractor shall be paid for Work performed to date, less damages caused by Contractor's breach.

Dispute Resolution

The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation between executive representatives. If unresolved, the parties agree to submit the dispute to mediation, and if mediation fails, to binding arbitration under the applicable arbitration rules selected by the parties. The prevailing party in any arbitration or litigation shall be entitled to recover reasonable attorneys' fees and costs.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement and Miscellaneous

This Agreement, including any Change Orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the Project and supersedes all prior and contemporaneous agreements, representations, and communications.
