Scope of Work

The Contractor shall furnish all labor, materials, tools, equipment and supervision necessary to complete the tile work as described below and in any approved attachments or change orders. The parties acknowledge that detailed technical specifications, tile patterns, edge treatments and tolerances are reflected in the Scope of Work field below.

Payment Terms

The Client shall pay the Contractor for the performance of the Scope of Work in accordance with the following terms. All amounts are in U.S. dollars unless otherwise agreed in writing.

Invoices are due upon receipt unless a specific due date is stated. Taxes, permits and any agreed reimbursable expenses are the responsibility of the Client unless otherwise stated in writing.

Term and Termination

This Agreement commences on Start Date: and is expected to reach Substantial Completion by End Date: unless extended by written change order. Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified below.

Termination for convenience may be effected by the Client upon written notice. If terminated, the Contractor shall be paid for work performed and materials purchased up to the effective date of termination, subject to offsets for Contractor defaults and applicable setoffs.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, including pricing, technical specifications and trade practices. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not use it except as necessary to perform the Scope of Work, and (c) not disclose it to third parties without prior written consent. Confidentiality obligations do not apply to information that is already known, publicly available through no fault of the recipient, independently developed, or rightfully received from a third party without restriction. Confidentiality obligations survive termination for a period of three (3) years.

Change Orders and Acceptance

Any change to the Scope of Work, price, or schedule must be authorized by a written change order signed by both parties. Final acceptance of the Work will occur upon written confirmation by the Client after inspection and testing, subject to any punch-list items agreed by the parties.

Insurance and Indemnity

The Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide proof of coverage upon request. The Contractor shall indemnify and hold harmless the Client from losses, claims or liabilities resulting from the Contractor's negligent acts or omissions in performing the Work, except to the extent caused by the Client's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in that State.

Entire Agreement; Amendments

This document, together with any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment to this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor by merger or sale of substantially all assets.
