Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes publicly available without breach of this Order, that is rightfully received from a third party without restriction, or that is independently developed. The receiving party shall not disclose Confidential Information to any third party except as necessary to perform this Order and shall take at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Governing Law

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Exclusive venue for any action arising from this Order shall be the state or federal courts located in the agreed jurisdiction unless the parties agree otherwise in writing.

Entire Agreement
