Tile Selection Document

This Tile Selection Document is entered into as of by and between:

Recitals

WHEREAS, Client has contracted with Contractor to perform tile supply and installation work at the Project Address under the applicable contract and project documents; and

WHEREAS, Contractor is authorized to procure and order tile materials as selected herein and Client desires to document the tile selections, allowances, pricing differentials, and approval conditions that will govern ordering and installation; and

WHEREAS, the parties intend that this Tile Selection Document supplement and become part of the project contract and that the parties' rights and obligations with respect to tile selection, acceptance, lead times, and change orders be governed by the terms set forth below.

Scope of Work

The Contractor shall supply and, if applicable under the contract, install the tile products selected below in strict accordance with manufacturer recommendations, industry standards, and the project drawings. Contractor shall verify site dimensions and conditions prior to ordering. Specific scope, exclusions, and special instructions are described below.

Payment Terms

Client agrees to pay the amounts indicated above according to the following schedule and terms:

Late payments shall incur interest at per month on the overdue balance, commencing after days from the invoice due date. Client is responsible for collection costs and reasonable attorney fees incurred to collect overdue amounts.

Lead Times, Samples, and Approval

Tile lead times vary by product. By signing below Client acknowledges that orders will be placed after selection approval and that lead times and final delivery dates are estimates only. Client accepts that natural variation in shade, texture and size are inherent to tile products and may occur between samples and production runs.

Client selects the above tile(s) and authorizes Contractor to order the specified quantities. All selections are final upon Contractor's placement of the order. Change orders after ordering are subject to a restocking or replacement fee and may require additional time and payment.

Selection approval: Client acknowledges receipt of samples and approves the tile selections and related finishes and quantities listed herein.

Term and Termination

This Tile Selection Document is effective as of the date set forth above and remains in effect until completion of the obligations described herein or earlier termination as provided below.

Either party may terminate this Tile Selection Document for cause upon written notice specifying the breach and allowing days to cure. Termination after tile order placement will not relieve Client of obligations to pay for ordered materials, restocking fees, or other costs reasonably incurred by Contractor.

Confidentiality

Each party shall maintain as confidential all proprietary pricing, trade secrets, manufacturer technical data, and other nonpublic information disclosed in connection with tile procurement and project execution. Confidential information shall not be disclosed to third parties except to employees, subcontractors, or suppliers who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Governing Law

This Tile Selection Document shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules.

Entire Agreement

This Tile Selection Document, together with the underlying project contract and any referenced purchase orders or change orders, constitutes the entire agreement between the parties concerning tile selection and supersedes all prior negotiations and representations relating thereto. Any amendment must be in writing and signed by both parties.

Notices

Notices shall be in writing and shall be deemed given when delivered personally, sent by certified mail, or delivered by a nationally recognized courier to the addresses set forth above (or to such other address as either party may provide in writing).

Client acknowledges that color, shade, and texture variations are normal and acceptable industry practice, and final acceptance is subject to on-site inspection prior to installation. Contractor is not responsible for color or shade differences discovered after installation if Client approved the samples or selected the tile in writing.
