TILES AND GLAZING SERVICE AGREEMENT

This Tiles and Glazing Service Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client requires professional tiling and glazing services for the property located at (Project); and

WHEREAS, Contractor represents that it is qualified, properly licensed, and experienced to perform tiling and glazing work in accordance with industry standards and applicable laws; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform the Project for Client.

Scope of Work

Contractor shall perform the tiling and glazing services described below. The work shall conform to the specifications and quality standards referenced in this Agreement and any attachments incorporated by reference. Unless otherwise agreed in writing, the Scope of Work includes materials, labor, site preparation, installation, sealing, glazing, cleanup, and final inspection.

Payment Terms

Client shall pay Contractor for performance of the Scope of Work as follows. All amounts are in U.S. dollars. Time is of the essence with respect to payment obligations.

Late payments shall incur interest at % per month (prorated daily) on any undisputed overdue balance, or the maximum permitted by applicable law, whichever is less. Contractor may suspend work if payments are more than days overdue after written notice.

Term and Termination

The term of this Agreement shall commence on the Effective Date and continue until completion of the Scope of Work unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days following written notice specifying the breach. Client may terminate for convenience upon providing days' prior written notice; in such event Contractor shall be entitled to payment for work performed and reasonable demobilization costs.

Confidentiality

Each party shall keep confidential all nonpublic information disclosed by the other party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement, is lawfully received from a third party without restriction, or is independently developed. The receiving party shall use confidential information only for performance of this Agreement and shall protect it using at least the same standard of care it uses to protect its own confidential information.

Insurance, Warranties, and Indemnification

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide proof of insurance upon request. Contractor warrants workmanship for a period of months from substantial completion and will repair defects arising from workmanship within that period at no cost to Client, provided Client gives prompt written notice of such defects. Materials warranties provided by manufacturers shall be passed through to Client to the extent assignable.

Contractor shall indemnify and hold harmless Client from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent acts, omissions or willful misconduct in performing the Scope of Work, except to the extent caused by Client's negligence or breach of this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as a party designates by written notice. Notices shall be deemed given upon personal delivery, confirmed electronic transmission, or three (3) business days after deposit with the postal service.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes.

Entire Agreement

This Agreement, including any attachments, exhibits, and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

Dispute Resolution

The parties shall attempt in good faith to resolve any dispute arising under this Agreement by negotiation between executives of the parties. If the dispute is not resolved within thirty (30) days, either party may pursue litigation as set forth in the Governing Law section. Each party shall bear its own costs in any dispute, except that the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
