Recitals

WHEREAS, Owner represents that Owner holds all necessary rights and title to harvest and convey timber located on the tract described as: ; and

WHEREAS, Buyer desires to purchase, and Owner desires to sell and authorize harvest of, the timber described herein under the terms and conditions set forth in this Agreement.

Scope of Work

The parties agree that Buyer shall perform or cause to be performed the harvest, removal, loading and transport of timber from the tract. The scope shall include species to be harvested, methods, and any site restoration obligations.

Payment Terms

Purchase Price: Buyer shall pay Owner a total price as provided below for all timber removed in compliance with this Agreement.

Payments due to Owner shall be made by the method agreed in writing. Buyer shall be responsible for any costs reasonably incurred to collect past due amounts, including collection fees and attorneys' fees.

Term and Termination

This Agreement commences on the Effective Date and continues until completion of harvest and final payment, unless earlier terminated as provided below.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party any confidential information received from the other party in connection with this Agreement. Confidential information includes, but is not limited to, pricing, volumes, proprietary harvesting methods, and any financial terms, except where disclosure is required by law or necessary to effectuate payment, transport, or regulatory compliance. Obligations of confidentiality survive termination of this Agreement for a period of three (3) years.

Indemnity and Insurance

Buyer shall indemnify, defend and hold harmless Owner from and against all liabilities, claims, damages and expenses arising from Buyer’s operations, except to the extent caused by Owner's negligence or willful misconduct. Buyer shall maintain commercial general liability and workers' compensation insurance with limits adequate for forestry operations and shall provide proof of insurance upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any exhibits and written amendments executed by both parties, constitutes the entire agreement between Owner and Buyer with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. No modification or waiver shall be effective unless in writing and signed by both parties.
