What a Timber Supply Agreement Covers

Timber Supply Agreement defines the contractual relationship between a timber seller (landowner, logger, or forest products company) and a buyer or processor for the sale, delivery, and payment of timber products. It typically addresses quantity and species of timber, harvesting schedule, measurement and scaling methods, delivery terms, pricing formula or fixed price, risk allocation for loss or damage, environmental and silvicultural obligations, access and road use, indemnities, insurance, and term length to reduce post-harvest disputes and clarify remedies.

Why a Written Timber Supply Agreement Matters

A clear Timber Supply Agreement allocates rights and responsibilities for harvest, delivery, and payment, reduces ambiguity about measurement and pricing, and supplies documentation useful for enforcement, financing, and regulatory compliance.

Why a Written Timber Supply Agreement Matters

Who Typically Uses This Agreement

Typical users include landowners, timber purchasers, logging contractors, and mill operators needing documented harvest, delivery, and payment terms.

  • Landowners and forest managers balancing revenue, stewardship, long-term stand goals, and access obligations.
  • Logging contractors arranging harvest schedules, equipment access, and payment milestones tied to loads.
  • Wood processors and mills securing species, volumes, and delivery timing for production planning.

Well-drafted agreements support procurement, operational planning, lender or investor due diligence, and reduce downstream disputes during scaling and settlement.

Core Sections to Include in the Agreement

A professional Timber Supply Agreement groups business, operational, and legal provisions so both parties can consistently apply measurement, pricing, and risk rules before harvest proceeds.

Parties

Identify buyer and seller with full legal names, entity types, addresses, and contact details to prevent ambiguity about which entity holds rights or obligations.

Quantity & Species

Specify species, volume units (MBF, tons, cords), measurement method and tolerances, and scaling procedures to reduce disputes at delivery.

Price & Payment

State fixed price or pricing formula, invoicing schedule, payment terms, late fees, withholding mechanics, and currency for payment.

Harvest Operations

Detail harvest schedule, access and road use, required permits, environmental protections, and responsibilities for site restoration and slash management.

Delivery & Transfer

Define delivery point, transfer of risk of loss, loading responsibilities, transportation costs, and acceptance criteria for delivered timber.

Insurance & Indemnity

Specify required insurance coverages, limits, responsibilities for third-party claims, and mutual indemnities allocating liability between parties.

Small Logger

A regional logger standardizes terms across multiple landowners to avoid repeated renegotiation and clarify delivery obligations.

  • Shortens negotiation, scheduling, and invoicing time.
  • The standardized agreement documents volume estimates, access provisions, and payment milestones so subcontractors and buyers coordinate deliveries with clear contractual triggers and fewer post-delivery disputes.

Mill Operator

A wood processing plant secures steady supply by using volume-based contracts tied to scaling methods and delivery windows.

  • Locks predictable supply and pricing for production planning.
  • Detailed delivery and acceptance criteria reduce contention at the scale house, assisting inventory forecasting and cash-flow planning for both buyer and seller.
