What a Time and Materials Payment Contract Is

A Time and Materials Payment Contract is a services agreement that bills the client for labor by hourly (or daily) rates plus the cost of materials used. It typically covers labor classifications, hourly rates, material markups, invoicing frequency, change-order procedures, and payment terms to allocate risk and allow flexible work scope.

Why Use a Time and Materials Payment Contract

This contract provides transparent billing for projects with uncertain scope, enables prompt payment for labor and materials, and clarifies change-order and dispute procedures. It protects contractors by capturing rates and authorizations while giving clients traceability for charges and approvals.

Why Use a Time and Materials Payment Contract

Who Typically Uses This Contract

The Time and Materials Payment Contract suits engagements where exact scope or quantities cannot be fixed up front and flexibility is needed for ongoing work.

  • General contractors and prime contractors billing for labor and site materials across multiple tasks, often on renovation or repair jobs.
  • Subcontractors and specialty trades charging hourly labor plus passed-through materials and requiring preapproved change-order procedures.
  • Property owners, facilities managers, and developers who accept variable scopes and require detailed invoice backup for billed hours and materials.

Use this agreement when you need clear rules for hourly billing, material reimbursement, change orders, and periodic invoicing to manage expectations and cash flow.

Authorized Signers and Typical Roles

Contractor — Project Manager

A named company officer or project manager who can bind the contractor on pricing, hourly rates, and acceptance of change orders. This signer should be listed with title and authority to certify hours and approve materials.

Client — Procurement Officer

The client’s procurement or facilities representative who can approve work, authorize change orders, and direct payments. List the authorized contact, role, and any delegated approval thresholds in the signature block.

Core Elements to Include in a Professional Contract

A well-drafted Time and Materials Payment Contract balances clarity for billing with controls for scope, change orders, and dispute resolution. Include sections that specify rates, invoicing rules, materials treatment, and liability limits.

Invoicing Schedule

Set invoice frequency, required backup (timesheets, receipts), and acceptable electronic formats for submission.

Change Orders

Establish written authorization for changes, pricing method for new work, and approval lead times.

Payment Terms

Specify due dates, late fees or interest, retainage (if any), and remedies for nonpayment.

Net 30 from invoice date unless otherwise agreed.

02

Work commencement

Begin work on the effective date or agreed start.

03

Periodic invoicing

Common Preparation Mistakes to Avoid

  • Leaving scope vague, which leads to disputes over billable tasks and scope creep when work changes.
  • Failing to require receipts for materials, allowing unverified charges and complicating client reimbursement.
  • Not defining overtime rules or labor classifications, causing ambiguous rates for after-hours work.
  • Skipping written change-order procedures, which risks unpaid additional work and client pushback.

Late Payment Interest: Accrue per contract rate
Stop-Work Right: Contractor may suspend services
Mechanic’s Lien Risk: State lien laws may apply
Tax Reporting Issues: Incorrect records can trigger audits

Practical Tips for Accurate and Efficient Contracting

Adopt these practices to reduce disputes, improve invoice accuracy, and accelerate payment for time-and-materials engagements.

Use clear labor classifications and units
Define each labor classification and the billing unit (e.g., hour, 0.25 hour). Require timesheets with start/stop times and task descriptions to reduce ambiguity and enable quick client review.
Require itemized material receipts
Mandate receipts for reimbursable materials, specify allowed suppliers, and establish markup limits. Itemized backup reduces disputes and speeds client approval of material charges.
Include written change-order procedures
Require written client approval for additional scope or hours, specify how pricing for changes is calculated, and set a processing timeframe to prevent unauthorized work and unpaid invoices.
Automate invoicing and approvals when possible
Use digital workflows that attach timesheets and receipts to each invoice, route approvals by role, and store signed copies for audits to shorten payment cycles and reduce errors.
