Either party may terminate this Overview for convenience with prior written notice to the other party. Notice period: days. Upon termination, Party A shall be compensated for time and deliverables completed through the termination effective date.

Confidentiality

Each party agrees that it will not disclose Confidential Information of the other party except as necessary to perform under this Overview or as required by law. "Confidential Information" includes non-public business information, time logs, productivity data, and process documentation. The obligations of confidentiality shall survive termination for a period of two (2) years.

Governing Law

This Overview shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Entire Agreement

This Overview, including any attachments and statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Dispute Resolution
